6.1.G. - Page 4 <br />AGREEMENT FOR PURCHASE OF AUDIO VISUAL EQUIPMENT, AND <br />INSTALLATION, MAINTENANCE, AND SUPPORT SERVICES <br />(Mark Latimer & Associates, Inc. dba Coda Technology Group) <br />THIS AGREEMENT ("Agreement") is made and entered into as of the day <br />of , 2017, by and between the CITY OF REDWOOD CITY, a charter city and <br />municipal corporation of the State of California ("City"), and MARK LATIMER & <br />ASSOCIATES, INC. dba Coda Technology Group, a California corporation ("Contractor") <br />for the purchase of audio visual equipment, and installation, maintenance, and support <br />services ("Project"). Installation services will be performed at 1017 Middlefield Road, <br />Redwood City, CA 94063. <br />RECITALS <br />A. City requires the services of an audio visual contractor to deliver, install, and <br />service audio visual equipment. Pursuant to Section 2.65 of the Redwood City Municipal <br />Code, the City solicited written proposals with public advertisement for this contract, as <br />its estimated cost is greater than one hundred thousand dollars ($100,000). <br />B. Contractor has the necessary experience in providing such services and <br />advice. <br />C. Selection of Contractor is expected to achieve the desired results in an <br />expedited fashion. <br />D. Contractor has submitted a proposal to City and has affirmed its willingness <br />and ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the parties agree as follows: <br />1. Scope of Work. City retains Contractor to provide and perform, and Contractor <br />agrees to provide and render, the equipment and services (collectively, the "Services") <br />that are defined in attached Exhibit 'A," which is incorporated herein by reference, <br />including but not limited to delivery, installation, and service of audio visual equipment for <br />the City's City Council Chamber. Contractor shall provide, furnish, and supply all things <br />necessary and incidental for the timely performance and completion of the Services, <br />including all necessary labor, materials, equipment, transportation, temporary facilities, <br />and utilities, unless otherwise specified herein. Contractor shall use its best efforts to <br />complete the Services in a professional and expeditious manner and to meet or exceed <br />the performance standards required herein. In the event of a conflict between the <br />provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement <br />shall prevail.
