<br />be executed by the CITY/DISTRICT and Project Manager prior to the <br />Project Manager performing the additional services required by the <br />amendment. In the event a specific task is eliminated, Project <br />Manager shall be entitled to compensation for any services performed <br />with regard to such tasks to and including the date notification has <br />been received that such task has been eliminated, and in accordance <br />with paragraph 2 of this Agreement. <br /> (c ) The City and District shall fulfill the <br />responsibilities for the project as described in the CITY/DISTRICT <br />responsibilities set forth in Exhibit "B" , attached hereto and <br />incorporated herein by this reference. <br /> (d) In providing the services described in this Agreement, <br />the Project Manager shall endeavor to maintain a working relationship <br />with the Contractor(s) and Design Professional(s) retained by <br />CITY/DISTRICT. However, nothing in this Agreement shall be construed <br />to mean that the Project Manager assumes any of the responsibilities <br />or duties of any Contractor or Design Professional retained by <br />CITY/DISTRICT. The Project Manager shall not be responsible for <br />construction, means, methods, sequence and procedures used in the <br />construction of the project or for the safety of personnel and <br />operations conducted by any contractor retained by CITY/DISTRICT or <br />for any such contractor's performance in accordance with such <br />contractor's contract with the CITY/DISTRICT. Project Manager shall <br />not be responsible for project design. There are no third party <br />beneficiaries of this CITY/DISTRICT-Project Manager Agreement and no <br />one except the parties to this Agreement may seek to enforce its <br />terms. <br /> -3- <br /> -..
