CITY and DISTRICT have reviewed the qualifications of <br />Project Manager and, based on the representations made by Project <br />Manager with respect to such qualifications, desires to enter into an <br />agreement with Project Manager for the performance of services as set <br />forth herein. <br /> NOW, THEREFORE, CITY, DISTRICT, and Project Manager agree as <br />follows: <br /> ~. Services. <br /> (a) Project Manager shall perform the services as <br />described in the Scope of Work set forth in Exhibit "A, " attached <br />hereto and incorporated herein by this reference. In performing the <br />services required by this Agreement, Project Manager shall adhere to <br />the standards of professional practice prevailing for services <br />similar to those to be performed by Project Manager. <br /> (b) The CITY/DISTRICT, without invalidating this <br />agreement, may make changes in the Project Manager's Scope of work as <br />specified in Exhibit A of this Agreement. The Project Manager shall <br />promptly notify the CITY/DISTRICT of changes that increase or <br />decrease the Project Manager's compensation or the duration of the <br />Project Manager's Scope of Work or both. The Project Manager shall <br />be entitled to receive additional compensation when the Scope of Work <br />is increased or extended by CITY/DISTRICT, unless the need for such <br />increase or extension is due to the fault of the Project Manager. <br />Changes in the Project Manager's Scope of Work or duration of the <br />Agreement shall be made by written amendment to this Agreement <br />executed by CITY/DISTRICT and Project Manager.
