C/CAG further agrees to indemnity and hold hannless City, its <br /> Council, boards, commissions, offICers, employees or agents for any suits, <br /> claims or actions by any third parties which arise out of the performance or non- <br /> perfonnance by the person or persons appointed to the Employment Positlon(s). <br /> C/CAG also agrees to Indemnify and hold City, its Counclt, boardS, commissions, <br /> officers, employees or agents harmless for any suits, claims or actions as a <br /> result of the recruitment and hiring of the person or persons appointed to the <br /> Employment Position(s). C/CAG further agrees to defend City, Its Council, <br /> boards, commissions, offICers, employees or agents against any and all such <br /> claims, actions or lawsuits and to pay all charges of attomeys fees and all other <br /> costs and expenses arising therefrom or Incurred in connection therewith; and if <br /> any judgment be rendered against City or any of the individuals enumerated <br /> above in any such action, C/CAG shall, at Its own expense, satisfy and discharge <br /> the same. <br /> B. çitv's LiabUitv an" Indemnification. City shall Indemnify, keep and <br /> save harmless C/CAG, its Board of Directors, officers, employees and agents <br /> against any and alf suits, claims or actions which result from any intentional. <br /> reckless or negligent conduct by City, its Council, boards. commissions. offICers, <br /> employees or agents in the course of City's performance of its responsibilities to <br /> provide PayroH Services, salary, City's Benefits. and other benefits (if applicable) <br /> to the person or persons appointed to the Employment Positlon(s).
