<br />agrees to defend any and all such actions, suits or claims and pay all charges of <br />attorneys fees and all other costs and expenses arising therefrom or incurred in <br />connection therewith; and if any judgment be rendered against C/CAG or any of <br />the individuals enumerated above in any such action, City shall, at is expense, <br />satisfy and discharge the same. C/CAG recognizes that City has no <br />responsibility for directing, managing or monitoring the job performance of the <br />person or persons appointed to the Employment Position(s) and that City will not <br />be required to indemnify C/CAG for any suits, claims or actions by said person or <br />persons for wrongful termination, discrimination, or other alleged cause arising <br />out of the employment relationship unless City, its Council, boards, commissions, <br />officers, employees or agents engage in conduct which is the subject of a claim <br />for wrongful termination, discrimination or other alleged cause arising out of the <br />employment relationship. City's obligation to indemnify C/CAG hereunder is <br />expressly limited to suits, claims or actions arising as a result of conduct within <br />the control of City. This provision does not affect City's liability for, or its <br />responsibility to, share the costs of defending claims based upon City's status as <br />a member of C/CAG. <br />C. Workers' Compensation CoveraQe. City shall provide, subject to <br />C/CAG's full reimbursement to City, pursuant to paragraphs 2 and 4 of this <br />agreement, full statutory workers compensation coverage for the Employment <br />Positions through its self-insurance program administered by the Association of <br />Bay Area Governments (ABAG). <br />Agmt-17 7 <br />G\shared\Redwood\Council <br />DES:AK\rg <br />04/30/96 <br /> _... ..~.
