<br /> DES:djk OS/21/96 (010/70) <br />shall be payable to the City of Redwood City as security for both <br />the performance and payment requirements of this agreement, and <br />further, that said deposit shall remain in effect until such time <br />that said Future Improvements required by this agreement are <br />completed. <br /> 6 . HOLD HARMLESS. (a) Owners shall protect, indemnify, and <br />hold harmless City, its Council, boards, commissions, officers, <br />agents, and employees, from and against any and all liability, <br />losses, damages, claims, causes of action, or actions arising out of <br />any accident, occurrence or incident resulting from, or alleged to (0 ( <br /> m <br />have resulted from the construction of any of the improvements by 0 <br /> -oJ <br />Owners, or the failure to perform or the negligent performance of - <br /> N <br />any contractual responsibility of Owners, or any negligent action of N <br /> 0 <br />Owners undertaken by Owners as a result of, or in the furtherance <br />of, such construction or other responsibility of Owners. Owners <br />shall also protect, indemnify and hold harmless the above parties <br />for any liability from and against claims and liability based upon <br />the use of any patent or patented article by Owners in the <br />construction of said work or improvements. Owners' duty to defend <br />and hold harmless shall include the responsibility to provide legal <br />representation, the selection of whom shall be subject to City's <br />approval. <br /> (b) Owners shall defend City, its Council, boards, <br />commissions, officers, employees, and agents in the event any action <br />is brought against City by reason of this agreement, or the <br />performance or non-performance of any work, duty or obligation of <br />Owners herein described.
