<br /> cities through and with whom the COUNTY will work. <br /> V. RELATIONSHIP OF THE PARTIES: <br /> It is understood that this Agreement is not intended to, and shall not be construed to, <br /> create the relationship of agent, servant, employee, partnership, joint venture or <br /> association, or other relationship whatsoever other than that specifically stated herein. <br /> Personnel of the COUNTY performing services under this agreement shall be employees <br /> of the COUNTY and under direction of the COUNTY and not of the CITY. <br /> VI. TERM OF CONTRACT <br /> This agreement is predicated upon (1) COUNTY'S subcontract with Lockheed Martin <br /> IMS Corporation, and (2) full participation of the following cities: Daly City, San Mateo, <br /> Burlingame, Menlo Park, San Francisco Airport Police, South San Francisco, San Bruno, <br /> Redwood City, San CarIos, Millbrae, Community College District, Belmont, Pacifica, <br /> Colma, East Palo Alto, and Foster City-. This contract shall be effective on the execution <br /> of the COUNTY'S contract with VENDOR, and upon the execution of this agreement by <br /> all of the cities listed in this paragraph. The term of this agreement shall be for a three (3) <br /> year period from the effective date of the agreement. <br /> VI. TERMINATION OF CONTRACT <br /> Either party may terminate this agreement without cause upon 60 days written notice. <br /> Either party may terminate this Agreement for a breach of the Agreement. A written <br /> notice setting forth the cause of the breach may be given by either party. If the party <br /> receiving a notice of breach of the Agreement fails to cure or correct the cause of the <br /> breach within thirty days, the party giving said notice, may at his discretion, terminate the <br /> agreement. A ten (10) day written notice of termination shall be given. <br /> Upon receipt of a written notice of termination" neither party shall incur additional <br /> obligations under any term of this Agreement without the written consent of the other; <br /> however, each party will complete all obligations it would incur in the ordinary course of <br /> business. <br /> Upon termination of the Agreement, all the CITY's original documents and copies of all <br /> COUNTY and VENDOR documents and data relating the processing of Notices of <br /> Parking Violations under this Agreement shall be promptly delivered to CITY within <br /> thirty (30) days ofthe terminated. The COUNTY and VENDOR shall be compensated <br /> for all work conducted prior to the date the contract is terminated. <br /> VII. NOTICE TO PARTIES <br /> Any notice required under this agreement to be given to either party may be given by <br /> depositing in the United States mail, postage prepaid, first-class, a notice addressed to the <br /> 2 <br /> . - _. --..- -r- ....h. <br />
