HOLD HARMLESS AGREEMENT <br /> It is agreed that City shall defend, hold hannless, and indemnify County, its officers and <br /> employees from any and all claims for injuries or damage to persons and/or property, <br /> which arise out of the terms and conditions of this contract and which result from the <br /> alleged negligent acts or omissions of City, its officers, and/or employees. <br /> It is agreed that County shall defend, hold harmless, and indemnify City, its officers and <br /> employees, from any and all claims for injuries or damage to persons and/or property, <br /> which arise out of the tern1S and conditions of this contract and which result from the <br /> alleged negligent acts or omissions of County, its officers, and/or employees. <br /> In the event of concunent alleged negligence of City, its officers and/or employees, and <br /> County, its officers, and/or employees, the liability for any and all claims for injuries or <br /> damages to persons and/or property which arise out of such concurrent negligence shall <br /> be apportioned according to the California theory of comparative negligence. <br /> IX. ASSIGNMENT <br /> Except as specifically provided herein, County shall not assign, sublet or transfer its <br /> interests in this agreement without the written consent of City. <br /> X. AMENDMENTS <br /> This agreement may be amended or modified by written agreement signed by both <br /> parties. Failure on the part of either party to enforce any provisions of this agreement <br /> shall not be construed as a waiver of the right to compel enforcement of such provision or <br /> prOVISIons. <br /> 3 <br /> . - .--, _. . .--....... ····r···· <br />
