F. ASSIGNMENT OF CONTRACT Nothing contained in this agreement shall be construed to permit assignment or transfer by COUNTY of any rights and/or duties under this Agreement and such assignment or transfer is expressly prohibited and void. G. NON-DISCRIMINATION COUNTY assures that it will comply with Title VII of the Civil Rights Act of 1964 and that no person shall, on the grounds of race, creed, color, disability, sex, sexual orientation, national origin, age, religion, Vietnam era Veteran's status, political affiliation, or any other non-merit factor be excluded from participation in, be denied the benefits of, or be otherwise subjected to discrimination under this agreement. H. USE OF CITY PROPERTY COUNTY shall not use CITY premises, property (including equipment, instruments and supplies) or personnel for any purpose other than in the performance of its obligations under this Agreement. I. TERMINATION Either party may terminate this agreement with or without cause by giving the other party 30 days written notice. J. INSURANCE/SELF INSURANCE COUNTY is self insured as to any requirements under this Agreement. No policies or bonds are required of either party as to any provisions of this Agreement. K. LIABILITY It is agreed that COUNTY shall defend, save harmless and indemnify CITY, its officers and employees, from any and all claims for injuries or damage to persons and/or property which arise out of the terms and conditions of this Agreement and which result from the negligent acts or omissions of the COUNTY, its officers and/or employees. It is further agreed that CITY shall defend, save harmless, and indemnify the COUNTY, its officers, and employees from any and all claims for injuries or damages to persons and/or property which arise out of the terms and conditions of this Agreement and which result from the negligent acts or omissions of CITY, its officers, and/or employees. In the event of concurrent negligence of the COUNTY, its officers and/or employees, and CITY, its officers, and/or employees, then the liability for any and all claims for injuries or damages to persons and/or property which arise out of the terms and conditions of this Agreement shall be apportioned under the California theory of comparative negligence as established presently, or as may be hereafter modified. 3 . -" .._- .......
