ORIGINAL AMENDMENT NO. 4 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES AECOM 1This Amendment No. 4 (the "Amendment No.4") is entered into and effective as of j(,l 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and AECOM Technical Services, Inc., ("Consultant") (collectively, the "Parties") for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (RAN Support)phase. RECITALS A. The Parties previously executed that certain Agreement for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W Support) phase, dated as of August 21, 2017, (the "Original Agreement'). B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to increase the Original Agreement amount up to 110% of the Original Agreement amount if necessary (Minute Order 17-148); C. On April 8, 2019, the Parties executed Amendment No. 1 in the amount not to exceed $73,954, to an aggregate Agreement value not to exceed $7,261,509 ("Amendment No. 1"); D. On July 17, 2019, the Parties executed Amendment No. 2 in the amount not to exceed $644,800, to an aggregate Agreement value not to exceed $7,906,309 ("Amendment No. 2"); and E. On July 26, 2019, the Parties executed Amendment No. 3 in the amount not to exceed $504,761, to an aggregate Agreement value not to exceed $8,411,070 ("Amendment No. Y); the Original Agreement, Amendment No. 1 and Amendment No. 2 and Amendment No. 3 are collectively referred to herein as the "Agreement'); and F. When the City Council approved Amendment No. 3, the Council also authorized the City Manager to further amend the Agreement in an amount not to exceed $125,000 to cover supplemental additional services if necessary (Minute Order 19-151); and G. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference.
