ORIGINAL <br />AMENDMENT NO. 4 TO AMEND AGREEMENT <br />FOR PROFESSIONAL SERVICES <br />AECOM <br />1This Amendment No. 4 (the "Amendment No.4") is entered into and effective as of <br />j(,l 2020, by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California ("City"), and AECOM Technical <br />Services, Inc., ("Consultant") (collectively, the "Parties") for the 101/84 (Woodside Road) <br />Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support <br />(RAN Support)phase. <br />RECITALS <br />A. The Parties previously executed that certain Agreement for the 101/84 <br />(Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and <br />Right of Way Support (R/W Support) phase, dated as of August 21, 2017, (the "Original <br />Agreement'). <br />B. When the City Council approved the Original Agreement, the Council also <br />authorized the City Manager to increase the Original Agreement amount up to 110% of <br />the Original Agreement amount if necessary (Minute Order 17-148); <br />C. On April 8, 2019, the Parties executed Amendment No. 1 in the amount not <br />to exceed $73,954, to an aggregate Agreement value not to exceed $7,261,509 <br />("Amendment No. 1"); <br />D. On July 17, 2019, the Parties executed Amendment No. 2 in the amount not <br />to exceed $644,800, to an aggregate Agreement value not to exceed $7,906,309 <br />("Amendment No. 2"); and <br />E. On July 26, 2019, the Parties executed Amendment No. 3 in the amount not <br />to exceed $504,761, to an aggregate Agreement value not to exceed $8,411,070 <br />("Amendment No. Y); the Original Agreement, Amendment No. 1 and Amendment No. 2 <br />and Amendment No. 3 are collectively referred to herein as the "Agreement'); and <br />F. When the City Council approved Amendment No. 3, the Council also <br />authorized the City Manager to further amend the Agreement in an amount not to exceed <br />$125,000 to cover supplemental additional services if necessary (Minute Order 19-151); <br />and <br />G. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 4, including any terms and conditions of the attached Exhibit <br />"A", incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />REV: 02-05-20 PR <br />ATN/AGR.Amend.
