ORIGINAL <br />AMENDMENT NO. 1 TO AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />AECOM Technical Services, Inc. <br />This ;Mend nt No. 1 is entered into and effective as of the 'day of <br />i� 2019, extending and amending the agreement dated <br />August 21, 2017 by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and AECOM Technical Services, Inc. <br />("Consultant") (collectively, the "Parties") for the 101/84 (Woodside Road) Interchange <br />Project's Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W <br />Support) phases. <br />RECITALS <br />A. On August 21, 2017, the Parties executed the Agreement for the 101/84 <br />(Woodside Road) Interchange Project's Plans, Specifications and Estimate (PS&E) and <br />Right of Way Support (R/W Support) phases in an amount not to exceed $7,187,555 <br />(the "Original Agreement"); and <br />B. When the City Council approved the Original Agreement, the Council also <br />authorized the City Manager to increase the agreement amount up to 10% of the <br />Original Agreement amount if necessary (Minute Order 17-148) for a total Agreement <br />amount not to exceed $7,906,310; and <br />C. The Parties have negotiated and agreed to the amendment attached to <br />and incorporated in by reference as Exhibit "A," Scope of Services and Exhibit "B," <br />Compensation, both attached hereto and incorporated by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Original Agreement, as may <br />have been amended from time to time, Consultant will provide those services described <br />in Exhibit "A." With this Amendment, the total agreement amount shall not exceed <br />Seven Million Two Hundred Sixty -One Thousand Five Hundred Nine Dollars <br />($7,261,509). <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis in an amount not -to -exceed <br />Seventy -Three Thousand Nine Hundred Fifty -Four Dollars ($73,954), for an aggregate <br />amount not to exceed Seven Million Two Hundred Sixty One Thousand Five Hundred <br />Nine Dollars ($7,261,509). Consultant will provide City, on a monthly basis, copies of <br />invoices sufficiently detailed to include hours performed, hourly rates, and related <br />activities and costs for approval by City. <br />3.
