ORIGINAL AMENDMENT NO. 1 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES AECOM Technical Services, Inc. This ;Mend nt No. 1 is entered into and effective as of the 'day of i� 2019, extending and amending the agreement dated August 21, 2017 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and AECOM Technical Services, Inc. ("Consultant") (collectively, the "Parties") for the 101/84 (Woodside Road) Interchange Project's Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W Support) phases. RECITALS A. On August 21, 2017, the Parties executed the Agreement for the 101/84 (Woodside Road) Interchange Project's Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W Support) phases in an amount not to exceed $7,187,555 (the "Original Agreement"); and B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to increase the agreement amount up to 10% of the Original Agreement amount if necessary (Minute Order 17-148) for a total Agreement amount not to exceed $7,906,310; and C. The Parties have negotiated and agreed to the amendment attached to and incorporated in by reference as Exhibit "A," Scope of Services and Exhibit "B," Compensation, both attached hereto and incorporated by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Original Agreement, as may have been amended from time to time, Consultant will provide those services described in Exhibit "A." With this Amendment, the total agreement amount shall not exceed Seven Million Two Hundred Sixty -One Thousand Five Hundred Nine Dollars ($7,261,509). 2. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis in an amount not -to -exceed Seventy -Three Thousand Nine Hundred Fifty -Four Dollars ($73,954), for an aggregate amount not to exceed Seven Million Two Hundred Sixty One Thousand Five Hundred Nine Dollars ($7,261,509). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 3.
