ORIGINAL AMENDMENT NO. 3 TO AMEND AND EXTEND AGREEMENT FOR PROFESSIONAL SERVICES AECOM This Amendment No. 3 is entered into and effective as of the ),0 day of Ju\�j , 2019, amending and extending the agreement dated August 21, 2017, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and AECOM Technical Services, Inc. ("Consultant') (collectively, the 'Parties") for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (RNV Support) phase. RECITALS A. On August 21, 2017, the Parties executed an Agreement for Professional Services for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (R/W Support) phase (the "Original Agreement'); and B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to increase the Original Agreement amount up to 10% of the Original Agreement amount if necessary (Minute Order 17-148); and C. On April 8, 2019, the Parties executed Amendment No. 1 to the Agreement for Professional Services in the amount not to exceed $73,954, to an aggregate Agreement value not to exceed $7,261,509 ("Amendment No. 1"); and D. On Judie ice, 2019 (pending) the Parties executed Amendment No. 2 to the Agreement for Professional Services in the amount not to exceed $644,800, to an aggregate Agreement value not to exceed $7,906,309, which equals 110% of the Original Agreement value ("Amendment No. 2"; the Original Agreement, Amendment No. 1 and Amendment No. 2 are collectively referred to herein as the "Agreement'); and E. The Parties have negotiated and agreed to additional scope of work and compensation, which are attached to and incorporated by reference as Exhibit "A," Scope of Services and Exhibit 'B," Compensation. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement Consultant will provide those services described in Exhibit "A." With this Amendment, the total Agreement amount shall not exceed Eight Million Four Hundred Eleven Thousand Seventy dollars ($8,411,070). 2. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis not -to -exceed Five Hundred Four Thousand Seven Hundred Sixty -One Dollars ($504,761), for an aggregate amount of ($8,411,070).
