<br /> NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS
<br />FOLLOWS:
<br />1. Services to be Performed
<br />Contractor, under the general direction of the Director of Human Services Agency, or her authorized
<br />representative, shall perform services as described in Exhibit A.
<br />2. Pl:\Yments
<br /> A. Maximum Amount. In full consideration of Contractor's performance of the services
<br />described in Exhibit A, County, City and Redevelopment Agency shall pay Contractor under this
<br />Agreement a sum not to exceed $50,000, $50,000, and $80,000 respectively for a total of$180,000.
<br /> B. Rate of Payment. The rate and terms of payment shall be as specified in Exhibit B. Any
<br />change is subject to the approval of the authorized representatives of County, City and
<br />Redevelopment Agency, and shall not be binding on County, City and Redevelopment Agency
<br />unless approved by said representatives in writing. In no event may the terms of payment be
<br />changed to the extent that the maximum obligation shall exceed the total specified in paragraph 2A
<br />above for the County, City and Redevelopment Agency. Each payment shall be conditioned on the
<br />performance of the services described in Exhibit A to the full satisfaction of the County, City and
<br />Redevelopment Agency.
<br /> C. Time Limit for Submittin¡ Invoices. Contractor shall submit an invoice for services to
<br />City for payment in accordance with the provisions of Exhibit B. County, City and Redevelopment
<br />Agency shall not be obligated to pay Contractor for the services covered by any invoice if
<br />Contractor presents the invoice to County, City or Redevelopment Agency more than one-hundred
<br />twenty (120) days after the date services were rendered, or more that ninety (90) days after this
<br />Agreement terminates, whichever is earlier.
<br />3. Relationship of Parties
<br />It is expressly understood that this is an agreement between independent contractors, YF A, OICW,
<br />County, City and Redevelopment Agency, and that no agency, employee, partnership, joint venture
<br />or other relationship is established by this Agreement. The intent of County, City, Redevelopment
<br />Agency and Contractor is to create an independent contractor relationship.
<br />4. Hold Harmless
<br />Contractor hereby agrees to defend, indemnify and save harmless County, City and Redevelopment
<br />Agency, and their respective Council, officers, Boards, commissions, agents and employees
<br />(collectively, "Indemnitees") against and from any and all claims, suits or actions of every name,
<br />kind and description, which may be brought against Indemnitees, or any of them, by reason of any
<br />injury to, or death of, any person (including corporations, partnerships and associations) or damage
<br />suffered or sustained by any such person arising from, or alleged to have arisen from, any act or
