ATTACHMENT 2 <br /> - ORIGINAL <br /> <br /> AGREEMENT <br /> <br /> Institutional Network Agreement <br /> <br /> (RCN) <br /> This agreement is entered this ~/'d"~day of November 2001, between the City <br />of Redwood City, a municipal corporation of the State of California ("City") and RCN <br />Telecom Services Inc. a Pennsylvania Corporation ("RCN"). <br /> <br /> WHEREAS, City approved a Franchise Agreement with RCN, on August 28, <br />2000, as evidenced by Ordinance 2200. <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, RCN is authorized, pursuant to an order of the Public Utilities <br />Commission of the State of California ("PUC") dated September 17, 1998, to offer <br />facilities-based competitive local exchange service; and <br /> <br /> WHEREAS, City has granted RCN the right to construct, install and maintain <br />Fiber Optic cables and related facilities within the Public Right-of-Way and/or public <br />utility or service easements (collectively referred to as Public Right-of-Way) within the <br />City of Redwood City; and <br /> <br /> WHEREAS, the Franchise Agreement provides in part that RCN will provide City <br />with interactive links between its fiber optic nodes and certain public buildings and <br />interactive-capable links to certain designated City buildings and install, operate and <br />maintain cable systems and netwoork components outside public buildings to provide <br />activated paths between transmitting andf receiving locations; and <br /> <br /> WHEREAS, in furtherance with the implementation of the Franchise Agreement, <br />City and RCN desire to enter into this Agreement. <br /> <br /> <br />
