No voluntary or involuntary successor in interest of the Developer shall acquire any rights or powers under this Agreement except as expressly set forth herein. Except as expressly set forth in this Agreement, the Developer shall not assign all or any part of this Agreement or any rights hereunder without the prior written approval of the Agency. Except as expressly set forth herein, this Agreement may be terminated by the Agency if there is any significant change (voluntary or involuntary) in the ownership, management or control of the Developer prior to the issuance of a Certificate of Completion for the Project Site as provided hereinafter. Notwithstanding any other provision hereof, the Developer has the right with the prior written consent of the Agency, which consent will not be unreasonably withheld, to join and associate with other entities in joint ventures, partnerships (including limited partnerships) or otherwise for the purpose of acquiring and developing the Project Site, provided that the Developer maintains management and control of such entities and remains fully responsible to the Agency as provided in this Agreement with respect to the Project Site. Wherever the term "Developer" is used herein, such term shall include any permitted nominee or assignee as herein provided. Article 2. ASSEMBLY OF THE PROJECT SITE §201 General The parcels that comprise the Project Site are to be assembled and title and right of possession thereto placed in the Developer, in the manner set forth in this article. All parcels are identified hereinafter by letter, and some are also identified by the numbers of their respective preliminary reports ("PR "),as shown on the Project Site Map which is Attachment No 3. §202 Parcels E and N Parcels E (PR 345893) and N (PR 334975) will be conveyed to the Developer by the City, either directly or by mesne conveyance through the Agency, on or before the date specified therefor in the Schedule of Performance, subject to such hearing requirements as may apply. §203 Parcels M and O Parcels M (PR 334979) and O (PR 334973) will be acquired by the Developer through direct negotiations with the owner without 3
