6.1.A. - Page 4 <br />Manager for the duration of the MOU. The County will invoice on a quarterly basis each <br />member of the Collaborative. <br />The Memorandum of Understanding allocates costs to each jurisdiction in the <br />watershed based on their stormwater flow contributions to the Bayfront Canal and <br />Atherton Channel. The flow contributions are based on the above-mentioned study BKF <br />Engineers completed on behalf of Stanford University (see Table 1). The Town of <br />Woodside is not participating in the MOU at this time. The Town of Woodside's total <br />flow contribution of 3.5% is distributed to the remaining members based on their <br />respective flow contribution in the watershed. <br />The MOU has a not -to -exceed cap of $1,000,000 for expenditures related to planning, <br />design, permitting and right of way acquisition. The City' financial share as part of this <br />MOU, if the expenditure cap is reached, will be $261,000. The MOU does not cover the <br />construction or the expected operational costs associated with the BC/AC project, which <br />may be covered under separate MOUs or may be included as subsequent amendments <br />to this MOU. The MOU also does not obligate the Collaborative or any member agency <br />to construct improvements for the Bayfront Canal and Atherton Channel. <br />The Proposition 84 Integrated Regional Water Management Plan grant is intended for <br />the construction of the BC/AC Project and so it will not be affected by this MOU, as the <br />MOU does not cover construction of the project. However, as the grant has a time limit <br />for completion of the BC/AC Project, a delay in executing the MOU, may delay the <br />completion of the project. The Collaborative will also be evaluating and seeking <br />additional grant opportunities and developing construction sharing agreements as <br />appropriate for the project. <br />As noted above, the Bayfront Canal Subcommittee had a concern that the MOU can be <br />terminated, without cause, by any member of the Collaborative with 30 days written <br />notice to all of the members of the Collaborative. If a member of the Collaborative <br />terminates the MOU, they will be responsible for their share of the cost of work <br />performed up to the effective date of the termination. However, after that 30 -day period, <br />the remaining members of the Collaborative will stop work temporarily to address this <br />change before continuing work. Unfortunately, other agencies did not agree to extend <br />that 30 -day term. However, as currently proposed, the future MOU may be revised, and <br />timelines can be extended, by approval of the agencies' city managers. If an agency <br />does pull out of the MOU, the city managers of the remaining cities may amend the <br />MOU to extend the overall timeline and/or continue work on the project. <br />As the BC/AC Project will require physical work within other jurisdictions, permits and <br />authorizations will be needed from the adjoining agencies in the watershed. Regional <br />support and collaboration will also be beneficial in obtaining funding and coordinating <br />construction of the project. Additional regional flood protection projects will likely be <br />needed to comprehensively address flooding of the Bayfront Canal and Atherton <br />Channel. These additional regional measures will be evaluated as part of the MOU, <br />
