<br /> (c) That, as of the Commencement Date, Landlord shall have complied with <br /> all Applicable Laws related to the Center (including the Building), so that the Center, the <br /> Parking Facility and the business to be conducted by Tenant from the Premises may be <br /> operated in a nonnal manner; and <br /> (d) That Landlord will not make or enter into any agreement or lease nor <br /> amend the Redevelopment Agreement or the Parking Agreement which is inconsistent <br /> with any of Tenant's rights or privileges under this Lease; and <br /> (e) That Landlord shall not seek or pennit any material amendment to or <br /> modification of the Site Plan of the Center (or the buildings, improvements, Common <br /> Areas and other principal improvements depicted thereon), without Tenant's prior written <br /> ",.; approval. For purposes of this Section 11.1, "material" shall have the same meaning as in <br /> " Section 2.2. <br /> \.., <br /> Landlord acknowledges that Tenant has relied on each of the foregoing covenants, <br /> warranties and representations in executing this Lease, that each of the same is material and that <br /> each of said warranties and representations are true as of the date hereof, will be true as of the <br /> Commencement Date. <br /> Section 11.2 Easement A2:reements. Landlord warrants and represents that there is no <br /> reciprocal easement agreement, operating agreement or agreement of similar import <br /> encumbering or benefiting all or any portion of the Center, except as may be disclosed on <br /> Exhibit H hereto. Any reciprocal easement agreements that affect the Center and are proposed to <br /> be entered into by Landlord after the Effective Date shall be subject to Tenant's prior written <br /> approval, which shall not be unreasonably withheld, delayed or conditioned. Landlord shall <br /> maintain all easements that benefit the Premises or the Center (including, without limitation, the <br /> Parking Agreement) in full force and effect throughout the Term and shall not amend or modify <br /> any such easement in any manner that would materially and adversely affect Tenant's use of the <br /> Premises or agree to subordinate any such easement to any mortgage or lien so as to derogate the <br /> rights granted to Landlord or the tenants of the Center to the extent such rights materially benefit <br /> Tenant without the consent of Tenant. Landlord shall use all commercially reasonable efforts to <br /> enforce the cross easement rights, operating covenants and other similar rights, if any, and the <br /> Parking Agreement, in all material respects, to the extent they benefit Tenant; provided that if <br /> Landlord fails to enforce such rights within thirty (30) days after notice from Tenant (or such <br /> additional time as is reasonably required by Landlord), Landlord agrees that Tenant shall have <br /> the right to enforce said rights directly or in the name and on behalf of Landlord, and Landlord <br /> shall reimburse Tenant for the reasonable expenses incurred by Tenant in enforcing such rights. <br /> Section 11.3 Rules and Ree:ulations. Tenant shall comply with such reasonable and <br /> customary rules _and regulations that Landlord may promulgate in writing from time to time for <br /> the entire Center; provided that such rules and regulations shall not limit, interfere or hinder <br /> Tenant's use, occupancy or operation of the Premises, nor increase the cost of operating Tenant's <br /> business in any material respect; and provided further that Tenant shall receive not less than sixty <br /> " <br /> 44 <br /> CHG02:3091375.v8 <br /> . .--.....- <br />
