<br /> herein, and such Final Plans shall be deemed to supercede any prior plans approved by the <br /> parties or otherwise referred to herein, to the extent of any inconsistency. The Final Plans shall <br /> not be changed by Landlord without the consent of Tenant, but Tenant shall be permitted to <br /> make changes therein ("Permitted Changes") so long as such changes do not require any <br /> material changes to the structural aspects of Landlord's Plans. <br /> ARTICLE IV <br /> TENANT'S WORK AND LANDLORD'S WORK. <br /> Section 4.1 General. Landlord's Work generally shall include the demolition of all <br /> existing structures and preparation of the site of the Center; the construction of all Common Area <br /> improvements to the Center, including all vehicular and pedestrian accessways to from and <br /> between the Building and the Parking Facility (except to the extent located within public rights <br /> of way), as shown on the Site Plan; and, as more particularly described in Section 4.2, the <br /> construction of the shell and core of the Building to accommodate the Premises and Tenant's <br /> Work, the construction and installation of the Required Vertical Transportation, the extension of <br /> all utilities to the Building and the Premises to the points of connection indicated in Tenant's <br /> Plans and the connection of such utilities to the facilities of the utility providers, and the <br /> installation of the HV AC systems serving the Building (but not the mechanical equipment, <br /> ducting and distribution of the HV AC system within and exclusively serving the Premises); and <br /> all exterior work and finishes (e.g., lighting, landscaping, signage, fixtures, hardscape, sidewalks, <br /> finishes and waterproofing) of and around the Building. Tenant's Work generally shall include <br /> the installation of Tenant's FF&E and the interior Premises work described on Exhibit D-5 <br /> attached hereto. <br /> Except as expressly included in the definition of Tenant's Work hereunder or as <br /> expressly shown on Tenant's Plans as being an element of Tenant's Work, Landlord's Work <br /> shall include all construction, equipment, mechanical systems, utilities, fixturing and fInishing of <br /> the Building, excluding only the interior space buildout, fixturing, finishing and furnishing of the <br /> Premises. Tenant's Work shall not include any such work outside the Premises, other than the <br /> installation of Tenant's signs and poster cases (if any) on the exterior of the Building and the <br /> installation of Tenant's remote ticket kiosks (subject to Landlord's installation of electrical <br /> power and conduit to such signs and ticket kiosks). <br /> Section 4.2 Landlord's Work. Landlord shall, at its sole cost and expense, perform <br /> the following work ("Landlord's Work") in strict accordance with the Final Plans (to the extent <br /> applicable): <br /> (a) "Landlord's Building Work", which shall include the following: <br /> (i) The work identified as "Landlord's Building Work" on Exhibit D-4 <br /> attached hereto. <br /> (ii) All utilities, including water, telephone, sewer and electricity, in <br /> capacities specified by Tenant or Tenant's Architect in Tenant's Plans, shall be <br /> . -........-... <br />
