<br /> Section 5.6 Certificates of Occupancy. Landlord shall, at its sole cost and expense, <br /> not later than thirty (30) days prior to the date Tenant is required to open the Premises for <br /> business with the public in accordance with the provisions of this Lease, obtain and deliver to <br /> Tenant permanent certificates of use and occupancy and other governmental approvals which <br /> may be required to pennit the use and occupancy of the Building (excluding, if applicable, the <br /> portions thereof within the exclusive possession and control of Tenant), the Required Vertical <br /> Transportation, and the Parking Facility and other Common Area improvements, in accordance <br /> with the Lease and the Final Plans. <br /> Section 5.7 Entrv bv Tenant. During the course of construction of Tenant's Work, <br /> but subject to the Work Schedule, Tenant may enter Landlord's Parcel, including the Building, <br /> for purposes of inspecting Landlord's Work, taking measurements, making plans, installing trade <br /> fixtures, erecting temporary or permanent signs and doing such other work as may be appropriate <br /> or desirable without being deemed to have waived Tenant's Work Commencement Conditions or <br /> being deemed thereby to have taken possession or obligated itself to pay rent or other charges in <br /> respect thereto and without affecting Landlord's obligations hereunder. Tenant shall not <br /> unreasonably interfere with Landlord's Work in the Building in the exercise of Tenant's rights as <br /> aforesaid. <br /> ARTICLE VI <br /> COST OF WORK <br /> Section 6.1. Landlord's Responsibilitv for certain costs of Tenant's Work. Landlord <br /> shall pay to Tenant, upon demand, an amount equal to Tenant's actual costs incurred as a result <br /> of Landlord's failure to perfonn its obligations properly in accordance with this Work Letter, <br /> including (without limiting the generality of the foregoing) any cost required by changes in the <br /> Final Plans to address site conditions. If Landlord shall fail to pay Tenant all or any portion of <br /> any amount payable by Landlord hereunder when due Tenant, then, in addition to Tenant's other <br /> rights and remedies, Tenant may withhold payment of the Base Rent and all other charges due <br /> under this Lease until Tenant has recouped such amount in full together with interest at the <br /> Interest Rate. <br /> [Remainder of page intentionally left blank; signature page follows.] <br /> . -.........,.. <br />
