<br /> EXHIBIT G <br /> FORM OF ESTOPPEL CERTIFICATE <br /> To: <br /> Re: Lease with Century Theatres, Inc., pertaining to certain premises (the <br /> "Premises") located in the Shopping Center, Redwood City, <br /> California (the "Center") <br /> Ladies and Gentlemen: <br /> The undersigned ("Tenant"), as tenant under that certain Lease with BHV INNISFREE <br /> VENTURES I, LLC ("Landlord"), dated March _, 2002 (together with all amendments, the <br /> "Lease"), does hereby represent to (collectively, the "Lender"), and its <br /> successors in interest as the holder of the Loan (as hereinafter defined), including any person or <br /> entity to whom the Mortgage (as hereinafter defined) may be assigned, as of the date hereof, as <br /> follows: <br /> 1. The copy of the Lease attached hereto as Schedule A is a true, correct and <br /> complete copy of the Lease, including all amendments, supplements and modifications <br /> thereof, and, to the best of Tenant's knowledge, the Lease is in full force and effect. The <br /> Lease sets forth all promises, undertakings and representations made by Landlord to <br /> Tenant concerning the Lease, the Center or the Premises. Capitalized terms that are used <br /> but not defined herein shall have the same meanings herein as are ascribed to such terms <br /> in the Lease. <br /> 2. Tenant haslhas not accepted occupancy of the Premises <br /> 3. Except as noted below, the information supplied by Landlord on <br /> Schedule B hereto correctly sets forth the Commencement Date and expiration of the <br /> Initial Term of the Lease, Tenant's options to extend the Term, Tenant's security deposit <br /> (if any) and the status of and amount of Base Rent currently payable by Tenant._ <br /> 4. Tenant has not received written notice from Landlord asserting any default <br /> by Tenant which has not been cured, except as follows: _ <br /> 5. To the best of Tenant's knowledge (without independent inquiry), no <br /> material uncured default on the part of Landlord currently exists under the Lease, except <br /> as follows: - <br /> CHG02:3091375.v8 <br /> . -- ."... <br />
