6. Tenant has not assigned, sublet, or transferred its interest in the Lease and/or the Premises, or any part thereof, except as follows: 7. Tenant currently asserts no defenses, offsets or counterclaims against Landlord with respect to its obligations under the Lease, except as follows: _ 8. The undersigned is authorized to execute this Tenant Estoppel Certificate on behalf of Tenant. Tenant understands and acknowledges that Lender is about to make a loan (the "Loan") to Landlord and receive as part of the security for such loan a mortgage (the "Mortgage") encumbering Landlord's interest in the Center and an assignment of leases and rents (the "Assignment of Rents") assigning the rents, issues and profits of the Lease and that Lender is relying upon the representations contained herein in making such Loan. Accordingly, Tenant shall be estopped from asserting against Lender any matter that is contrary to the express representations of Tenant set forth above; provided, however, that Tenant shall have no liability hereunder for the inaccuracy or incompleteness of any matter expressed herein. By executing this Tenant Estoppel Certificate, Tenant acknowledges that, pursuant to the Assignment of Rents, the Lease and the rent and all other sums due thereunder have been or may be assigned to Lender as security for the Loan and may be further assigned in connection with any sale of the Loan.
