SUPPLEMENTAL JOINT ESCROW INSTRUCTIONS To: First American Title ("Escrow Agent"). 555 Marshall Street Redwood City, CA 94063 Attention: Karen Matsunaga Escrow Officer From: City of Redwood City (the "City"); Redevelopment Agency of the City of Redwood City (the "Agency"); and On Broadway Redwood City, LLC (the "Developer"). Re: Escrow No. NCS 42523 These Supplemental Joint Escrow Instructions ("Supplemental Instructions") constitute the direction of the City, the Agency and the Developer (sometimes jointly referred to herein as the "Parties") to the Escrow Agent in connection with the above-referenced escrow, and are a supplement to the Joint Escrow Instructions already provided to the Escrow Agent by the Parties. Defined terms not otherwise defined herein shall the meaning set forth in the Joint Escrow Instructions. Section I - Effect of Supplemental Instructions These Supplemental Instructions are intended to supplement the Joint Escrow Instructions, and the Joint Escrow Instructions remain fully in force and unchanged except to the extent specifically provided herein. Section II - Signatures by Buchanan Urban Investors, LLC It has been determined, and the Parties acknowledge and agree, that the Managing Partner of the Developer, BHV Innisfree Ventures I, LLC ("BHV") has the right to execute on behalf of the Developer all of the documents relevant to the transaction to which this escrow pertains, and that the signature of Buchanan Urban Investors, LLC ("Buchanan") is not required. For that reason, the Parties request and direct the Escrow Agent to do the following: A. Accept the Joint Escrow Instructions as valid and binding instructions from the Parties without the requirement of a signature by Buchanan, provided that BHV has executed the Joint Escrow Instructions on behalf of the Developer.
