<br /> SUPPLEMENTAL JOINT ESCROW INSTRUCTIONS <br /> To: First American Title ("Escrow Agent"). <br /> 555 Marshall Street <br /> Redwood City, CA 94063 <br /> Attention: Karen Matsunaga <br /> Escrow Officer <br /> From: City of Redwood City (the "City"); <br /> Redevelopment Agency of the City of Redwood City (the "Agency"); and <br /> On Broadway Redwood City, LLC (the "Developer"). <br /> Re: Escrow No. NCS 42523 <br /> These Supplemental Joint Escrow Instructions ("Supplemental Instructions") <br /> constitute the direction of the City, the Agency and the Developer (sometimes jointly referred to <br /> herein as the "Parties") to the Escrow Agent in connection with the above-referenced escrow, and <br /> are a supplement to the Joint Escrow Instructions already provided to the Escrow Agent by the <br /> Parties. <br /> Defined terms not otherwise defined herein shall the meaning set forth in the Joint <br /> Escrow Instructions. <br /> Section I - Effect of Supplemental Instructions <br /> These Supplemental Instructions are intended to supplement the Joint Escrow <br /> Instructions, and the Joint Escrow Instructions remain fully in force and unchanged except to the <br /> extent specifically provided herein. <br /> Section II - Signatures by Buchanan Urban Investors, LLC <br /> It has been determined, and the Parties acknowledge and agree, that the Managing <br /> Partner of the Developer, BHV Innisfree Ventures I, LLC ("BHV") has the right to execute on <br /> behalf of the Developer all of the documents relevant to the transaction to which this escrow <br /> pertains, and that the signature of Buchanan Urban Investors, LLC ("Buchanan") is not required. <br /> For that reason, the Parties request and direct the Escrow Agent to do the following: <br /> A. Accept the Joint Escrow Instructions as valid and binding instructions from the <br /> Parties without the requirement of a signature by Buchanan, provided that BHV has executed the <br /> Joint Escrow Instructions on behalf of the Developer. <br /> B. Delete page 5 from the Grant Deed from the Agency to the Developer, which page <br /> .. .' .., -.",..".--. <br />
