LEASE AGREEMENT THIS LEASE AGREEMENT, (this "Lease") dated as of March 18, 2002 (the "Effective Date"), is by and between BHV INNISFREE VENTURES I, LLC, a California limited liability company ("Landlord"), and CENTURY THEATRES, INC., a Delaware corporation ("Tenant"). BACKGROUND A. Pursuant to the Redevelopment Agreement (defined below), Landlord is the contract purchaser and developer of certain real property located in Redwood City, San Mateo County, California, which property is legally described on Exhibit B attached hereto (as more particularly defined below, the "Landlord's Parcel"), which Landlord has agreed .; to acquire, develop and improve as an approximately 172,980 gross buildable square foot first-class retail shopping center known (or to be known) as "On Broadway" (as more, particularly described below, the "Center") substantially as depicted on the "Site Plan" attached hereto as Exhibit A-I. B. . Landlord desires to lease to Tenant and Tenant desires to lease from Landlord certain premises within the Center, as depicted on the site plan attached hereto as Exhibit A-I (as more particularly defined below, the "Premises"). Accordingly, Landlord and Tenant hereby agree as follows: ARTICLE 1 BASIC LEASE INFORMATION Section 1.1 Reference Data. The following reference data constitutes certain terms of this Lease. Whenever any data is referred to as "estimated," said data shall be determined in the manner provided in this Lease and such estimate shall be disregarded. Landlord: BHV INNISFREE VENTURES I, LLC, a California limited liability company. Tenant: CENTURY THEATRES, INC., a Delaware corporation. Landlord's Parcel: Approximately 2.11 acres of real property generally bounded by Broadway, Jefferson, and Middlefield m Redwood City, California, as depicted on Exhibit A-I attached hereto and legally described on Exhibit B attached hereto. Premises: The interior of the premises that is identified by cross-hatching on Exhibit A-2, located on the second floor of a new building (as more; particularly described below, the "Building") to be constructed by Landlord within the Center together with all rights, easements and appurtenances belonging or appertaining thereto. .'
