EXHIBIT "A" ORDER WHEREAS, Superion, LLC ("Superion"), as successors in interest to CRW Systems, Inc. and SunGard Public Sector LLC, licensed to City of Redwood City ("Customer") certain software products and provided related support services under that certain "Agreement for Professional Services and Software License" dated January 22, 2002 ("Existing Licensed Products"); and WHEREAS, Superion and Customer are parties to that certain Software Maintenance Agreement, dated as of May 25, 2016 (the "Maintenance Agreement"), pursuant to which Superion provides maintenance and support services related to the Existing Licensed Products; WHEREAS, Customer also desires to obtain additional Superion software licenses (the "Additional Licensed Products") and related implementation and support services, as identified in the Project Cost Supplement attached hereto and incorporated herein by reference as Exhibit 4 the "Project Cost emu, ,element"); WHEREAS, Customer is purchasing the Additional Licensed Products and related implementation any $ support services, pursuant to a Professional Services Agreement (the "Agreement executed between Customer aid Superion; and WH FREAS, this Order is attached to the Agreement as Exhibit A thereto; NOW THEREFORE, the Customer and Superion agree as follows: The Recitals above are hereby incorporated into this Order as part of the Order. This Order incorporates the Superion Standard Terms and Conditions attaches i hereto as Exhibit 3 ("SST") as if the Superion entity was "Superion" and Customer was "Customer" ther3under. This Order is incorporated as part of the Agreement, and the terms herein are part of the Agreemt .t. In he event of any conflict between the Agreement, the Order, and/or SST, the terms of the Agreement : hall supersede the terms of the Order and/or SST as applicable, and the terms of the Order shall supersede the terms of the SST.
