errors and omissions that may be made in performing the Services <br /> to be rendered in connection with this Agreement and as described <br /> specifically herein , in the minimum amount of $ 1 ,000,000 per claim and in <br /> the aggregate. Any policy inception date, continuity date, or retroactive date <br /> must be before the effective date of this agreement, and Superion agrees <br /> to maintain continuous coverage through a period no less than one (1 ) year <br /> after completion of the services required by this agreement. <br /> 11 . 1 .6 Network Security & Privacy Liability (Cyber Liability) . Superion must <br /> carry Network Security & Privacy Liability (Cyber Liability) Insurance with <br /> limits not less than $ 1 , 000 ,000 per occurrence or claim and in the <br /> aggregate. Coverage shall shall include claims invoVing infringement of <br /> copyright, trademark, and trade dress, invasion o1 privacy violations, <br /> information theft, damage to or destruction of electronic information , release <br /> of private information , alteration of electronic inform&tio;i , cyber extortion <br /> and network security subject to the terms, conditions , :inc exclusions of the <br /> policy. The policy shall provide coverage for breach response costs as well <br /> as regulatory fines and penalties as well as credit monitoring expenses as <br /> required by a regulatory agency and subject to the terms, cond `ions, and <br /> exclusions of the policy. <br /> 1 • .2. Notice of Cancellation . This insurance will be in force during the life of the <br /> Agreement and any extensions of it and will not be canceled without Superion <br /> providing thirty (30) days prior written notice to Customer sent pursuant to the <br /> Notice provisions of this Agreement. <br /> 11 . 3 Providing Certificates of Insurance and Endorsements . Prior to Customer's <br /> execution of this Agreement, Superion shall providf; '.o Customer certificates of <br /> insurance and above-referenced endorsements sufficient to satisfaction of <br /> Customer's Risk Manager. In no event shall Superion commence any work or <br /> provide any Services under this Agreement until certificates of insurance and <br /> endorsements have been accepted by Customer's Risk Manager. <br /> 11 .4 Failure to Maintain Coverage. If Superion fails to comply with these <br /> insurance requirements , then Customer will have the option to declare Superion in <br /> breach . <br /> 12 . Business License. Superion will obtain and maintain a City of Redwood City <br /> Business License for the term of the Agreement, as may be amended from time-to-time. <br /> 13 . Maintenance of Records. Superion will maintain complete and accurate records <br /> with respect to costs incurred under this Agreement. All records will be clearly identifiable. <br /> Superion will allow a representative of Customer during normal business hours to <br /> examine, audit, and make transcripts or copies of records and any other documents <br /> created pursuant to this Agreement.
