Superion , for Superion and on behalf of Superion 's agents, employees, subcontractors
<br /> and consultants warrants that by execution of this Agreement, that they have no interest,
<br /> present or contemplated , in the projects affected by this Agreement. Superion further
<br /> warrants that neither Superion , nor Superion's agents, employees, subcontractors and
<br /> consultants have any ancillary real property, business interests or income that will be
<br /> affected by this Agreement or, alternatively, that Superion will file with Customer an
<br /> affidavit disclosing this interest.
<br /> 18 . General Compliance with Laws . Superion will keep fully informed of federal, state
<br /> and local laws and ordinances and regulations which in any manner affect those
<br /> employed by Superion , or in any way affect the performance of the Services by Superion .
<br /> Superion will at all times observe and comply with these laws, ordinances, and regulations
<br /> and will be responsible for the compliance of Superion': Sānvices with all applicable laws ,
<br /> ordinances and regulations.
<br /> 19 . Discrimination and Harassment Prohibited . Superion will comply with all
<br /> applicable local, state and federal laws and regulations prohibiting discrimination and
<br /> harassment.
<br /> 20 . Termination . This Agreement may be terminated as provided in the Order.
<br /> Customer will additionally have the right to terminate this Agreement for convenience, by
<br /> providing Superion with written notice of such termination for convenience at least thirty
<br /> (30) days prior to the effective date of such termination for convenience . Provided as a
<br /> strict condition of such right of terminatiof for, convenience, Customer must first remit to
<br /> Superion payment in full of: (a) all license fee amounts for the Solution software (b) all
<br /> amounts for all third party products prcvidec by Superion under or pursuant to this
<br /> Agreement, (c) all fees for services render:d by or on behalf of Superion , (d) all
<br /> reimbursable expenses incurred by Superion , and (e) all amounts which remain due for
<br /> maintenance as of the effective date of termination . The foregoing sentence
<br /> notwithstanding , Customer shall not be required to remit any amount that exceeds the
<br /> not-to-exceed amount set forth in Section 6 above.
<br /> 21 . Covenants against Contingent Fees. Superion warrants that Superion has not
<br /> employed or retained any company or person , other than a bona fide employee working
<br /> for Superion , to solicit or secure this Agreement, and that Superion has not paid or agreed
<br /> to pay any company or person , other than a bona fide employee , any fee, commission ,
<br /> percentage, brokerage fee, gift, or any other consideration contingent upon , or resulting
<br /> from , the award or making of this Agreement. For breach or violation of this warranty,
<br /> Customer will have the Night to annul this Agreement without liability, or, in its discretion ,
<br /> to deduct from the Agree inent price or consideration , or otherwise recover, the full amount
<br /> of the fee, commission , pErcentage , brokerage fees , gift, or contingent fee.
<br /> 22 . Claims and Lawsuits. Superion acknowledges that if a false claim is submitted to
<br /> Customer by Superion , it may be considered fraud and Superion may be subject to
<br /> criminal prosecution . Superion acknowledges that California Government Code sections
