Attachment 1 C Introduction Jones Hall, A Professional Law Corporation, is pleased to propose its services as disclosure counsel to the City of Redwood City (the "City"). We understand that the City is seeking disclosure counsel services in connection with issuance of water revenue bonds to finance reclamation and construction distribution facilities for the City's water enterprise. Set forth in this proposal is (1) a brief description of Jones Hall, (2) a brief statement of Jones Hall's qualifications and experience, (3) resumes of Steve Melikian and Scott Ferguson, the two attorneys that would provide disclosure counsel services to the City, (4) our proposed scope of services, and (5) a proposed fee arrangement. Attached to the proposal are a list of water financings completed by Jones Hall as bond counsel, disclosure counselor underwriter's counsel since January 2001 (Appendix A), a proposed form of disclosure counsel contract (Appendix B), and a form of due diligence checklist for the City's proposed water revenue financing (Appendix C). 1. Description of Jones Hall. Jones Hall consists of twelve principal attorneys and two associates, all of whom practice exclusively in the area of municipal finance as bond counsel, underwriter's counsel, disclosure counsel, and special tax counsel. This specialization allows us to focus our practice to the unique requirements of public finance, without the need to suit other, unrelated areas of the legal profession. Support staff is comprised of approximately 20 individuals, who help to assure smooth closings and timely responses to the requests of our clients. All of the firm's attorneys and staff are devoted to the single goal of serving California local governments in connection with their financing needs. The result of the concentration in this area is a highly trained and skilled staff directly responsible to its municipal clients. Every financing receives the highest level of priority by our entire staft. Our success has been achieved by providing responsive service to all clients, whether their issues are very large or very small. 2. Qualifications and Experience General. Jones Hall is one of the most active municipal finance firms in the country. During the past fifteen years, more local California agencies have used Jones Hall as bond counsel on their long-term financings than any other law firm, based upon statistics compiled by the California Debt Investment and Advisory Commission. Jones Hall was the second-ranked bond counsel firm, the top ranked disclosure counsel firm and the fourth ranked underwriter's counsel firm in California in calendar year 2003 in terms of number of issues, according to Thompson Financial. Based on these statistics, Jones Hall served, in 2003, as bond counsel on 223 financings with an aggregate principal amount of over $4.5 billion, as disclosure counsel on 94 financings (the next highest firm served as disclosure counsel on only 41 financings) with an aggregate principal amount of over $1.8 billion, and as underwriter's counsel on 40 financings with an aggregate principal amount of over $1.29 billion.
