<br />Attachment 1 C <br /> <br />Introduction <br /> <br />Jones Hall, A Professional Law Corporation, is pleased to propose its services <br />as disclosure counsel to the City of Redwood City (the "City"). <br /> <br />We understand that the City is seeking disclosure counsel services in connection <br />with issuance of water revenue bonds to finance reclamation and construction <br />distribution facilities for the City's water enterprise. <br /> <br />Set forth in this proposal is (1) a brief description of Jones Hall, (2) a brief <br />statement of Jones Hall's qualifications and experience, (3) resumes of Steve Melikian <br />and Scott Ferguson, the two attorneys that would provide disclosure counsel services to <br />the City, (4) our proposed scope of services, and (5) a proposed fee arrangement. <br />Attached to the proposal are a list of water financings completed by Jones Hall as bond <br />counsel, disclosure counselor underwriter's counsel since January 2001 (Appendix A), <br />a proposed form of disclosure counsel contract (Appendix B), and a form of due <br />diligence checklist for the City's proposed water revenue financing (Appendix C). <br /> <br />1. <br /> <br />Description of Jones Hall. <br /> <br />Jones Hall consists of twelve principal attorneys and two associates, all of whom <br />practice exclusively in the area of municipal finance as bond counsel, underwriter's <br />counsel, disclosure counsel, and special tax counsel. This specialization allows us to <br />focus our practice to the unique requirements of public finance, without the need to suit <br />other, unrelated areas of the legal profession. Support staff is comprised of <br />approximately 20 individuals, who help to assure smooth closings and timely responses <br />to the requests of our clients. <br /> <br />All of the firm's attorneys and staff are devoted to the single goal of serving <br />California local governments in connection with their financing needs. The result of the <br />concentration in this area is a highly trained and skilled staff directly responsible to its <br />municipal clients. Every financing receives the highest level of priority by our entire <br />staft. Our success has been achieved by providing responsive service to all clients, <br />whether their issues are very large or very small. <br /> <br />2. <br /> <br />Qualifications and Experience <br /> <br />General. Jones Hall is one of the most active municipal finance firms in the <br />country. During the past fifteen years, more local California agencies have used Jones <br />Hall as bond counsel on their long-term financings than any other law firm, based upon <br />statistics compiled by the California Debt Investment and Advisory Commission. Jones <br />Hall was the second-ranked bond counsel firm, the top ranked disclosure counsel firm <br />and the fourth ranked underwriter's counsel firm in California in calendar year 2003 in <br />terms of number of issues, according to Thompson Financial. Based on these statistics, <br />Jones Hall served, in 2003, as bond counsel on 223 financings with an aggregate <br />principal amount of over $4.5 billion, as disclosure counsel on 94 financings (the next <br />highest firm served as disclosure counsel on only 41 financings) with an aggregate <br />principal amount of over $1.8 billion, and as underwriter's counsel on 40 financings with <br />an aggregate principal amount of over $1.29 billion. <br /> <br />We represent virtually every type of public agency in California, including cities, <br />special districts, counties, school districts, redevelopment agencies and housing <br /> <br />Attachment 1C-1 <br />
