The depth and breadth of the experience of the firm's attorneys enables us <br />to bring a level of knowledge and creativity to the structuring of financing transactions <br />that is far greater than that of most bond counsel firms. <br /> <br />Water Revenue Financings. Our firm has acted as bond counsel, disclosure <br />counselor underwriter's counsel on over forty water revenue financings during the <br />period from January 1, 2001 to the present, for clients that include the Cities of Arcata, <br />Benicia, Fairfield, Oceanside, Hayward, Napa, Petaluma, San Luis Obispo, Santa Cruz, <br />Santa Paula, Sunnyvale, the City and County of San Francisco Public Utilities <br />Commission, and various public districts and joint powers agencies. A list of water <br />revenue transactions for which we have served as bond counsel, disclosure counselor <br />underwriter's counsel during this period is attached as Appendix A. <br /> <br />3. <br /> <br />Resume of Principal Attorneys. <br /> <br />Steve Melikian and Scott Ferguson would provide the disclosure counsel <br />services to the City. Both are partners in the firm. Mr. Melikian would be the lead <br />attorney, with the expectation that he would provide all necessary services as disclosure <br />counsel. Mr. Ferguson would be available in a back-up capacity. <br /> <br />Steve Melikian has 25 years of municipal bond experience and joined Jones Hall <br />in 1999. He has experience in all types of municipal financings, with a focus on <br />multifamily housing revenue bonds, tax allocation bonds, revenue bonds and lease <br />financings. Mr. Melikian attended Dartmouth College, where he received an A.B. in <br />1976, and University of Southern California where he received his J.D. in 1979. He was <br />admitted to the California Bar in 1979 and is a member of the American Bar Association <br />and the National Association of Bond Lawyers. <br /> <br />Scott Ferguson joined Jones Hall in 1999, and has practiced real estate, land <br />use, corporate and public finance law since 1994. He has experience as bond counsel, <br />disclosure counsel and underwriter's counsel in financings that include utility revenue <br />bonds, Mello-Roos special tax bonds, assessment bonds, certificates of participation <br />and multifamily housing revenue bonds. <br /> <br />Scott Ferguson attended the University of Freiburg, Germany, and the University <br />of Virginia, where he received his B.A. degree in 1987, and Hastings College of the Law, <br />where he received his J.D. degree in 1994. He was admitted to the California Bar in <br />1994 and is a member of the State Bar of California, the Bar Association of San <br />Francisco and the National Association of Bond Lawyers. <br /> <br />4. Scope of Services. As the City's disclosure counsel, we will provide the <br />following legal services in connection with the preparation of the Official Statement for <br />the financing and related sales documents to be used in connection with the financing. <br />Such services shall include the following: <br /> <br />(i) <br />financing; <br /> <br />Prepare the Official Statement (both preliminary and final) for the <br /> <br />(ij) Confer and consult with the officers and administrative staff of the <br />City as to matters relating to the Official Statement; <br /> <br />Attachment 1 C-2 <br />
