Attachment 1 C authorities, having served as bond counsel for over 1,100 public entities in the State of California. The depth and breadth of the experience of the firm's attorneys enables us to bring a level of knowledge and creativity to the structuring of financing transactions that is far greater than that of most bond counsel firms. Water Revenue Financings. Our firm has acted as bond counsel, disclosure counselor underwriter's counsel on over forty water revenue financings during the period from January 1, 2001 to the present, for clients that include the Cities of Arcata, Benicia, Fairfield, Oceanside, Hayward, Napa, Petaluma, San Luis Obispo, Santa Cruz, Santa Paula, Sunnyvale, the City and County of San Francisco Public Utilities Commission, and various public districts and joint powers agencies. A list of water revenue transactions for which we have served as bond counsel, disclosure counselor underwriter's counsel during this period is attached as Appendix A. 3. Resume of Principal Attorneys. Steve Melikian and Scott Ferguson would provide the disclosure counsel services to the City. Both are partners in the firm. Mr. Melikian would be the lead attorney, with the expectation that he would provide all necessary services as disclosure counsel. Mr. Ferguson would be available in a back-up capacity. Steve Melikian has 25 years of municipal bond experience and joined Jones Hall in 1999. He has experience in all types of municipal financings, with a focus on multifamily housing revenue bonds, tax allocation bonds, revenue bonds and lease financings. Mr. Melikian attended Dartmouth College, where he received an A.B. in 1976, and University of Southern California where he received his J.D. in 1979. He was admitted to the California Bar in 1979 and is a member of the American Bar Association and the National Association of Bond Lawyers. Scott Ferguson joined Jones Hall in 1999, and has practiced real estate, land use, corporate and public finance law since 1994. He has experience as bond counsel, disclosure counsel and underwriter's counsel in financings that include utility revenue bonds, Mello-Roos special tax bonds, assessment bonds, certificates of participation and multifamily housing revenue bonds. Scott Ferguson attended the University of Freiburg, Germany, and the University of Virginia, where he received his B.A. degree in 1987, and Hastings College of the Law, where he received his J.D. degree in 1994. He was admitted to the California Bar in 1994 and is a member of the State Bar of California, the Bar Association of San Francisco and the National Association of Bond Lawyers. 4. Scope of Services. As the City's disclosure counsel, we will provide the following legal services in connection with the preparation of the Official Statement for the financing and related sales documents to be used in connection with the financing. Such services shall include the following: (i) financing; Prepare the Official Statement (both preliminary and final) for the (ij) Confer and consult with the officers and administrative staff of the City as to matters relating to the Official Statement; Attachment 1 C-2
