AGREEMENT <br /> <br /> PROFESSIONAL CONSULTING SERVICES - <br /> REDWOOD SHORES STREET SYSTEM IMPROVEMENTS PROJECT <br /> <br /> (SMITH-EMERY COMPANY) <br /> <br /> THIS AGREEMENT, made and entered into this 15th day of June, 2001, by and between <br /> <br />the CITY OF REDWOOD CITY, a municipal corporation of the State of California, ("City"), and <br />SMITH-EMERY COMPANY of San Francisco, California ("Consultant"); <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, City requires geotechnical and construction materials testing and inspection <br />services in connection with the Redwood Shores Street System Improvements Project in the <br />City of Redwood City (the "Project"); and <br /> <br /> WHEREAS, in connection with the Project, the City requires professional consulting <br />services; and <br /> <br /> WHEREAS, Consultant represents that it possesses the experience, and is qualified to <br />perform the aforesaid services for the Project; <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1. CONSULTANT'S SERVICES. Consultant shall perform geotechnical and <br /> <br />construction materials testing and inspection services described in Exhibit "A" hereof, attached <br />hereto and by this reference incorporated herein. <br /> <br /> 2. COMPENSATION; EXPENSES; PAYMENT. City shall compensate Consultant for <br />all services performed by Consultant hereunder in an amount based upon Consultant's hourly <br />rates that are prevailing during the time of the performance of said services.
