First Step Recycled Water Project Third Year Improvements," on file in <br /> the administrative offices of Authority to which reference is made for <br /> the full particulars thereof, including, generally, new coagulant addition <br /> and mixing facilities, modifications to Dual Media Filter lB, a temporary <br /> chlorine contact facility and piping modifications to Digester No. 1; <br /> <br /> b. Reimbursable Costs: costs incurred by Authority pursuant to its <br /> construction contract for the Improvements, including all change <br /> orders, modifications or amendments thereto; provided, that the <br /> Reimbursable Costs shall not exceed One Hundred Thirty Thousand <br /> Dollars ($130,000). <br /> 2. Construction. Authority shall construct the Improvements pursuant to <br />Authority's public contract bidding procedures. The parties acknowledge that <br />Authority has, as of the effective date hereof, awarded the contract for said <br />construction. <br /> <br /> 3. Payment. City shall pay Authority the Reimbursable Costs in <br />installments upon submittal of written requests therefor issued from time to time <br />during the construction of the Improvements; provided, that the sum of the <br />installment payments shall not exceed the above-defined limitation. City shall <br />remit its payments within thirty (30) days of the date of the request for payment. <br /> <br /> 4. Records. Authority shall maintain accurate records of the construction <br />costs of the Improvements approved by Authority, including all installment <br />payments, change orders, modifications or amendments thereto. The records or <br />copies thereof shall, upon request of City, be made available to City for <br />inspection during regular working hours. Authority shall retain the records for not <br />less than one (1) year following acceptance of the Improvements. <br /> <br /> 5. Exclusive Control; Consideration. Authority shall have exclusive <br />control over construction of the Improvements, including, without limitation, the <br />exclusive authority to determine the amount, timing and appropriateness of <br />payments made or to be made to Authority's general contractor.
