Authority for the costs of construction, subject to the above-described limitation. <br />City acknowledges and agrees that its consideration received hereunder consists <br />of the benefits derived from the Improvements, including the ability to continue <br />operation of the First Step Project and reliance upon Authority's use of the <br />Improvements during such time as City considers expansion of its recycled water <br />distribution program. <br /> <br /> 6. Dispute Resolution. If either party shall have an alleged claim or <br />dispute ("Claim") against the other party arising out of the interpretation, <br />performance or non-per[ormance of the other party under this agreement, the <br />party asserting the Claim ("Claimant") shall so notify the other party <br />("Respondent") in writing, describing the dispute and stating the grounds upon <br />which it is based. Within ten (10) days of receipt of the notification by the <br />Respondent, the parties shall confer and attempt to resolve the Claim informally. <br />If it is not resolved informally, they shall submit the Claim to a mediator selected <br />by them or selected by striking names from a list of mediators provided by the <br />California State Mediation and Conciliation Service. If the Claim is not resolved <br />through mediation, the parties may pursue their respective other remedies as <br />they deem appropriate. No claim based upon records retained by Authority <br />pursuant to Paragraph 4 shall be asserted after one (1) year following <br />acceptance of the Improvements by Authority. <br /> <br /> 7. Integration. This Agreement supersedes every antecedent or <br />concurrent oral or written declaration or understanding between Authority and <br />City pertaining to its subject matter. <br /> <br /> 8. Successors. This Agreement shall be binding upon, and inure to the <br />benefit of, the parties hereto and their respective successors and assigns. <br /> <br /> 9. Paragraph Headings. Paragraph headings as used herein are for <br />convenience only, and shall not be deemed to modify or amend the paragraph or <br />subparagraph headed thereby. <br /> <br /> 10. Original Counterparts.
