DAS:s~ 10/01/86 (#31) <br /> DAS:s._. 03/05/87R (#31) <br /> <br />are independent contractor and shall not be considered to be <br />officers, employees or agents of City for any purpose. <br /> <br /> 7. COMPLETION DATE. Consultants shall complete the <br />services described in paragraph 1 of this agreement within nine <br />(9) months from the "Notice to Proceed". Any deviation from said <br />schedule must be approved, both by Consultants and the City's <br />Director of Finance. <br /> <br /> 8. TITLE TO DOCUMENTS. All documents and other papers, or <br />copies thereof, as finally prepared by Consultants, as <br />instruments of service pursuant to the terms of this agreement, <br />shall upon final preparation, become the property of City. <br /> <br /> 9. TERMINATION. Either party may terminate this agreement <br />without cause at any time by giving not less than ten (10) days' <br />prior written notice to the other party. Such notice shall set <br />forth the effective date of termination. In the event of such <br />termination, City shall compensate Consultants for all services <br />performed under this agreement to the date of termination. In <br />ascertaining the services actually rendered hereunder to the date <br />of termination, consideration shall be given both to completed <br />work and work in process of completion. Termination without <br />cause hereunder shall not be deemed a limitation upon the parties <br />to terminate for cause or otherwise to exercise such legal or <br />equitable rights as may accrue to them hereunder. <br /> <br /> 10. HOLD HARMLESS AND INSURANCE. Consultants shall hold <br />harmless, indemnify and defend City, its employees, agents, <br />officers, Council, boards and commissions, from and against all <br />claims for or in connection with personal injury and/or property <br /> <br /> 4 <br /> <br /> <br />
