<br />16.2.1 Tenant has examined the Premises and finds that it is fit for use <br />as the Clinic in accordance with this Lease. <br /> <br />16.2.2 Tenant acknowledges that Landlord has not made any <br />representations or warranties regarding the condition of the Premises, or its suitability for <br />the operation of the Clinic. <br /> <br />16.2.3 To the best of Tenant's knowledge, Tenant's execution, delivery <br />and performance of its obligations under this Agreement will not constitute a default or a <br />breach under any contract, agreement or order to which the Tenant is a party or by which <br />Tenant is bound. <br /> <br />16.2.4 <br /> <br />Tenant shall continuously operate the Premises as the Clinic. <br /> <br />16.2.5 <br /> <br />Tenant is not the subject of a current or threatened bankruptcy <br /> <br />proceeding. <br /> <br />16.2.6 Tenant has the right, power and authority to enter into this <br />Lease and to perform all the obligations of Tenant hereunder. <br /> <br />ARTICLE 17 EVENTS OF DEFAULT: REMEDIES <br /> <br />17.1 Events of Default. Anyone or all of the following events after thirty (30) days <br />written notice to Tenant, unless a shorter period is specified, shall constitute an Event of <br />Default hereunder: <br /> <br />17.1.1 If Tenant shall default in the payment of any rent, charges or <br />Common Area Expenses when and as the same becomes due and payable and such <br />default shall continue for more than ten (10) days after Landlord shall have given written <br />notice thereof to Tenant; or <br /> <br />17.1.2 <br /> <br />The failure to operate the Premises as the Clinic; or <br /> <br />17.1.3 <br /> <br />The abandonment or vacation of the Premises by Tenant; or <br /> <br />17.1.4 If Tenant shall default in the performance of or compliance with <br />any other material term, covenant or condition of this Lease and if Tenant shall fail to cure <br />such default within 30 days after receipt of written notice thereof from Landlord, or, if the <br />default is of such character as to require more than 30 days to cure and Tenant shall fail <br />to use reasonable diligence in curing such default. <br /> <br />14 <br /> <br />,,-.... ,., --" T ' <br />
