(3) Representati. ves of Parties: The official representatives <br />of the parties hereto shall be the chairperson of the board of <br />supervisors of any county, the mayor of any municipal corporation, the <br />chairperson of the qoverning body of each public corporation, of each <br />member of the AQency, or their duly designated alternates. <br /> <br /> "C. Membership: <br /> <br /> (1) All political subdivisions of the State of California, <br /> municipal corporations and public corporations in the <br /> counties of Alameda, San Mateo and Santa Clara, toqether <br /> with any such political subdivisions, municipal corpora- <br /> tions or public corporations therein with common interests, <br /> concerns and purposes who desire to become members of the <br /> Agency, are eligible for membership in the Agency. <br /> <br /> (2) Membership in the Agency shall be contingent upon the ex- <br /> ecution of a copy of the joint powers agreement and the <br /> payment by each proposed member of each annual assessment <br /> imposed by the Agency. Should any party not pay its annual <br /> assessment within ninety (90) days of its due date it shall <br /> thereupon forfeit its membership in the Aqency. <br /> <br /> This agreement may be executed in counterparts, and when so <br /> executed each counterpart shall be reqarded as constituting <br /> a part of the original agreement for joint exercise of <br /> powers. <br /> <br /> D. GoverninQ Body of the Aqency <br /> <br />The ooverninq body of the Aqency shall be a board of directors which <br />shall consist of one representative from each party signatory hereto. <br />The chairperson of the boards of supervisors, the mayor of member cities, <br />and the chairperson of any member public corporation, or their duly <br />designated alternates, shall be the representatives of the parties and <br />shall serve as members of the Board of Directors. <br /> <br /> (1) Term of Office. Each director shall serve at the <br /> pleasure of the member agency providing, however, that <br /> membership on the Board shall terminate upon termination of <br /> the official office cited in the paragraph above, except <br /> for service on the Executive Committee as hereafter <br /> provided. Vacancies shall be filled by the appointing <br /> member agency. <br /> <br /> (2) Officers. A Chairperson, Vice-Chairperson, and a Secretary <br /> shall be elected by the Board from its own <br /> <br /> - 3 - <br /> <br /> <br />
