<br />16. <br /> <br />Governina Law. <br /> <br />This agreement, its terms and conditions, and the <br /> <br />performance of the parties hereunder, shall be governed by the laws of the State of <br /> <br />California. <br /> <br />17. Attorney's Fees. If either party shall commence an action against the other <br /> <br />party arising out of or in connection with this agreement, the prevailing party shall be <br /> <br />entitled to have and recover from the losing party reasonable attorney's fees and costs <br /> <br />of suit. <br /> <br />18. Notices.
