~ ' DAS:d 03/23/89 (004/39) <br /> <br /> charges to City for services rendered and or costs incurred, <br /> which statement shall describe briefly the services rendered or <br /> costs incurred during the period for which the statement relates. <br /> Consultant's records aforesaid shall be made available to City at <br /> City's offices during regular business hours upon request of <br /> City. Payment shall be made by City upon submittal of <br /> appropriate statements therefor. <br /> <br /> 4. OWNERSHIP OF DOCUMENTS. All reports, programs, plans, <br /> test results, specifications, studies, photographs, recordings, <br /> or other documents or tangible things made or produced by <br /> Consultant in completion of tasks assigned to him shall, upon <br /> submission or delivery thereof to City, become the property of <br /> City. All preliminary notes, personal memoranda, research, <br /> outlines, draft documents or other documents or tangible things <br /> prepared or used in preparation of matters to be submitted or <br /> delivered upon completion of a task shall remain the property of <br /> Consultant. <br /> <br /> If City uses Consultant's documents for any purpose <br /> other than the specific project for which this agreement is <br /> applicable, such use shall be at City's own risk. <br /> <br /> 5. ASSIGNMENT; SUBCONTRACT. Consultant shall not <br /> subcontract, assign, sell mortgage, hypothecate or otherwise <br /> transfer its interests or responsibilities under this agreement, <br /> except with the written consent of City. <br /> <br /> 6. TERM. This agreement shall have a term of six months <br /> commencing March 8, 1989 unless sooner terminated as hereinafter <br /> provided in paragraph 9. <br /> <br /> 2 <br /> <br /> <br />
