<br />ARTICLE n - GENERAL PROVISIONS <br /> <br />Section 2.1. Purpose. This Agreement is made pursuant to the Act providing for the <br />joint exercise of powers common to the Agencies. The purpose of this Agreement is to provide <br />for the joint exercise of powers to manage, operate and maintain the Joint Equipment and to <br />implement the financing, acquisition and construction of additions and improvements thereto and <br />thereafter to manage, operate and maintain the Joint Equipment, as so added to and improved, <br />as to provide the Area with more efficient and economical police services. Each of the Agencies <br />is authorized to exercise all such powers pursuant to its organic law. <br /> <br />Section 2.2. Creation of Authority. Pursuant to the Act, there is hereby created a public <br />entity to be known as the" Southern San Mateo Police Authority", The Authority is a public <br />entity separate and apart from the Agencies and shall administer this Agreement. <br /> <br />Section 2.3, Term. This Agreement shall be effective on the date hereof and shall <br />continue in effect until such time as the Authority and the Agencies shall have paid all sums due <br />and owing pursuant to this Agreement or pursuant to any contract executed pursuant to this <br />Agreement and thereafter until terminated pursuant to Article VllI. <br /> <br />Section 2.4. Commission'. The Authority shall be administered by a Commission of five <br />(5) members, consisting of one representative ftom each Agency, appointed by such Agency's <br />City Council. Such appointee shall be either the Police Chief of the Agency, or the Police <br />Chiefs designee. The Commission shall be the governing board of the Authority and shall be <br />called the "Commission of the Southern San Mateo Police Authority". All voting power of the <br />Authority shall reside in the Commission. <br /> <br />Each member of the Commission shall serve at the pleasure of the Agency that appointed <br />such member, Each Commission member who is the Police Chief of an Agency shall cease being <br />a member of the Commission when such member ceases to hold the position of Chief of Police <br />of the Agency that appointed such member. Vacancies on the Commission shall be filled by the <br />respective appointing Agencies. The members of the Commission shall not be compensated for <br />their participation in the Authority. <br /> <br />Section 2.5. Meetings of the Commission. <br /> <br />a) Regular Meetings. The Commission shall provide for its regular meetings; <br />provided, however, that at least one regular meeting shall be held each year. The date, hour and <br />place of the holding of regular meetings shall be fixed by resolution of the Commission and a <br />copy of such resolution shall be filed with each of the Agencies. <br /> <br />b) Special Meetings. "Special meetings of the Commission may be called in <br />accordance with the provisions of Section 54956 of the Government Code of the State, upon the <br />request of at least three (3) members of the Commission. <br /> <br />.....-..,-- "-"T' , <br />
