<br />ARTICLE 9 <br /> <br />WS shall hold the City of Redwood City, its City Council, officers, agents and employees <br />harmless from any liability arising from the negligent act or omission of a Government of officer <br />or employee acting within the scope of his or her employment to the extent compensation is <br />available pursuant to the Federal Tort Claims Act (FTCA), 28 USC 2671 et. seq., except to the <br />extent that aforesaid liability arises from the negligent act or omissions of the City of Redwood <br />City, its employees, agents, or subcontractor(s). Such relief shall be provided pursuant to the <br />procedures set forth in the FTCA. <br /> <br />ARTICLE 10 <br /> <br />This Agreement shall become effective no later than 90 days from WS receiving the signed <br />Agreement in the WS State Office in Sacramento, California and shall be renewed armually. <br />This Agreement may be amended in writing, at any time, by mutual agreement of both parties. It <br />may be terminated by either party upon 90 days written notice to the other party. In accordance <br />with the Federal Debt Collection Improvement Act (DCIA) of 1996, bills issued by APHIS/WS <br />are due and payable within 30 days of receipt.
