<br />2. City will award a contract to the lowest responsible bidder for the <br />rubberized chip seal treatment and the slurry seal treatment. City will award a contract to <br />the lowest responsible bidder for the raising of the water valves, sewer manholes, and <br />street monuments to grade; and the installation of new traffic stripping and lane <br />delineation. <br /> <br />3. The City agrees to notify the County of the successful bidders to <br />whom the contracts are awarded. <br /> <br />4. The County agrees to reimburse the City, on demand, one-half the <br />total cost incurred by the City, estimated to be $21,235.52 for said roadway maintenance <br />- City performed road repairs and leveling courses; Contractor performed rubberized chip <br />seal and slurry seal; the raising of the water valves, sewer manholes, and street <br />monuments to grade; and the installation of new traffic stripping and lane delineation. Said <br />total shall include contract change orders, incidentals, and overhead expenses incurred <br />by City; provided however, that said incidentals and overhead expenses shall not exceed <br />ten percent (10%) of the total construction contract and change order costs for the said <br />roadway maintenance, unless authorized in writing, by the County. It is understood that <br />the total sum to be reimbursed to City shall be determined from the actual costs incurred <br />by the City to perform the roadway maintenance on Oak Knoll Drive between Hillside Road <br />and Summit Drive including the City performed preparation work and the Contract <br />performed raising of the water valves, sewer manholes, and street monuments to grade, <br />and the installation of new traffic stripping and lane delineation. The cost estimate <br />provided is for informational purposes only. <br /> <br />5. The County shall only accept the work accomplished within the <br />County limits after receiving written approval from the City. County disapproval of City <br />work shall only be for non-conformance with the adopted project plans and specifications <br />for the City of Redwood City Rubberized Cape Seal Project, FY 1998-99. Said approval <br />or disapproval, if any, by the County shall be provided so as not to cause the City to <br />sustain any claims for delays from the Contractor. <br /> <br />6. City shall indemnify, defend, and hold harmless the County, its <br />officers, agents, directors and employees from all claims, damages, suits or actions of <br />every name, kind and description, arising out of or relating to the matters covered by the <br />agreement to the extent such claims, suits or actions are due to negligence or willful <br />misconduct of City or City's failure to perform obligations required of City under this <br />agreement. <br /> <br />Likewise, County shall indemnify, defend and hold harmless City, its <br />officers, agents, directors, boards, commissions and employees from all claims, damages, <br />suits or actions of every name, kind, and description, arising out of or relating to the <br />matters covered by this agreement to the extent such claims, suits or actions are due to <br />the negligence or willful misconduct of County or County's failure to perform obligations <br />required of County under this agreement. <br /> <br />GmlwpwinistreetslroadsrowlCo_agreement1 page 2 of 3 <br />
