No change in this Contract is valid unless approved by an <br />executive officer of Delta and included in this Contract by written <br />amendment. <br /> <br />Any dispute arising out of or relating to this Contract or its breach between <br />City of Redwood City, Delta, a Participating Dentist, and an Eligible <br />Person, or any of them, including any disagreement with a claim <br />determination made by Delta after exhaustion of the review procedure <br />outlined in Article 7 of this Contract, will be settled by arbitration in <br />accordance with the Commercial Arbitration Rules of the American <br />Arbitration Association ("AAA"). Any party to a dispute, including an <br />Eligible Person, may initiate arbitration by written notice to each other <br />party to such dispute, stating the intention to arbitrate and describing the <br />nature of the dispute, the amount involved, if any, and the remedy sought, <br />and by filing two copies of such notice with the American Arbitration <br />Association Regional Office in the nearest metropolitan area to the party <br />initiating arbitration. <br /> <br />The provisions of this Contract are severable. If any portion of this <br />Contract or any Amendment of it is determined to be illegal, void, or <br />unenforceable by any arbitrator, court, or other competent authority, all <br />other provisions of this Contract will remain in effect. <br /> <br />The parties agree that all questions regarding the interpretation or <br />enforcement of this Contract are governed by the laws of the State of <br />California, where the Contract was entered into and is to be performed. <br />Delta is subject to the requirements of Chapter 2.2 of Division 2 of the <br />California Health and Safety Code and of Subchapter 5.5 of Chapter 3 of <br />Title 10 of the California Administrative Code. Any provisions required <br />to be in the Contract by those laws bind Delta whether or not stated in this <br />Contract. <br /> <br />31 <br /> <br />--~--- ~ u <br />
