<br />EXHI BIT A <br /> <br />SUPPORT IN EVALUATION AND NEGOTIATION OF OVS <br />OR COMPETITIVE CABLE FRANCHISE <br />STATEMENT OF WORK <br /> <br />A. SCOPE <br /> <br />Telecommunications Management Corp. (the Consultant) shall provide cable <br />consultant seNices to the City of Redwood City (the City) in negotiating an Open <br />Video System agreement, or alternatively, a cable system franchise agreement, <br />with RCN Corp. in accordance with the following tasks. <br /> <br />B. TASKS <br /> <br />Task 1 <br />Evaluation of Franchise Application(s) <br /> <br />The Consultant shall evaluate all RCN OVS and/or franchise application(s) <br />and proposals, and prepare for the City a written evaluation report which <br />shall include, but not necessarily be limited to, the following: <br /> <br />. <br /> <br />A review of the applicant's qualifications, and specifically its <br />experience as an OVS or competitive cable operator in the <br />California communities in which it holds cable franchises or <br />OVS agreements. <br /> <br />. <br /> <br />A review of the franchise terms and conditions proposed, <br />and a comparison of those conditions with the provisions of <br />the existing TCI franchise, and any anticipated TCI renewal <br />franchise. <br /> <br />. <br /> <br />Recommendations for City action. <br /> <br />Up to two (2) meetings with City staff and/or the City Council to review and <br />discuss the City's options are included in the cost indicated in E. below for <br />this task. <br /> <br />Task 2 <br />Support in Negotiating Franchise <br /> <br />The Consultant shall support the City in negotiating an OVS agreement or <br />cable franchise with RCN, based upon any RCN application and any <br /> <br />1 <br />
