<br />d. <br /> <br />Preparing the record of proceedings for the authorization, sale and issuance of the <br />COPS; <br /> <br />e. <br /> <br />Reviewing purchase contracts, letter of credit reimbursement agreements and other <br />bank or underwriting documents for the COPS and participation in negotiations, as <br />requested by the City; <br /> <br />f. <br /> <br />Attending meetings of the financing working group, informational meetings and other <br />conferences scheduled by the City; <br /> <br />g. <br /> <br />Consulting with prospective purchasers of the COPS, their legal counsel and rating <br />agencies; <br /> <br />h. <br /> <br />Consulting with counsel to the City concerning any legislation or litigation during the <br />course of the financing; <br /> <br />1. <br /> <br />Consulting with the trustee for the COPS, and counsel to the trustee; <br /> <br />J. <br /> <br />Preparing the form of the COPS, and supervising their production or printing, signing, <br />authentication and delivery; <br /> <br />k. <br /> <br />Rendering a legal opinion as to the validity of the COPS for use and distribution upon <br />their issuance. <br /> <br />Compensation. In return for the services described in Section 3, Attorneys will be <br />compensated a fee equal to $50,000. In addition to the bond counsel fee, Attorneys shall also be <br />reimbursed for all out-of-pocket expenses, except such reimbursement shall not exceed $4,000. <br /> <br />Section 2. All Other Services. To the extent the City desires the services of Attorneys for <br />other services not described herein, such services shall be provided in exchange for compensation to be <br />negotiated at the time of such equal representation by the City's Director of Finance and the Attorneys. <br /> <br />Section 3. Assigned Attorney. Attorneys agree to assign David G. Casnocha and Douglas <br />Brown to provide the services described in this Agreement. <br /> <br />Section 4. Solicitation. Bond Counsel warrants that no person has been employed to <br />solicit or secure this contract upon any agreement for a commission, percentage, brokerage, or <br />contingent fee. Breach of this warranty shall give the City the right to terminate this contract, or in its <br />discretion to deduct from Attorneys' fee. <br /> <br />Section 5. No Assignment. Attorneys shall not assign or transfer any interest in this <br />contract except that claims for moneys due or to become due under the contract may be assigned to a <br />bank, trust company, or other financial institution. <br /> <br />Section 6. Refundings. This Agreement shall also govern the issuance of any refunding <br />bonds issued to refund any of the obligations subject to this Agreement. <br /> <br />.............. ..-. ,....... <br />
