CALIFORNIA 92660-6441 <br />TELEPHONE (714) 725-4000 <br />FACSIMilE (714) 725.4100 <br /> <br />AGREEMENT FOR LEGAL SERVICES. <br /> <br />BETWEEN THE CITY OF REDWOOD CITY <br />AND STRADLING YOCCA CARLSON & RAUTH, <br />FOR BOND COUNSEL SERVICES <br /> <br />THIS AGREEMENT FOR LEGAL SERVICES is entered into as of this August 1, 1998 by <br />and between the CITY OF REDWOOD CITY (the "City") and STRADLING YOCCA CARLSON & <br />RAUTH, A PROFESSIONAL CORPORATION, San Francisco, California ("Attorneys"); <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the City desires to issue Variable Rate Certificates of Participation ("COPS"), or <br />other tax-exempt obligations to reimburse the City for costs associated with the construction of the <br />City's City Hall; <br /> <br />WHEREAS, in connection with such proceedings the City requires the ongoing advice and <br />assistance of qualified bond counsel; and <br /> <br />WHEREAS, the City has determined that Attorneys are qualified by traìning and experience to <br />perform the services of bond counsel, and Attorneys are willing to provide such services; and <br /> <br />WHEREAS, the public interest, economy and general welfare will be served by this Agreement <br />for Legal Services; <br /> <br />NOW, THEREFORE, THE PARTIES HERETO MUTUALL Y AGREE AS FOLLOWS: <br /> <br />Section 1. Certificates of Participation. Duties of Attorneys. Attorneys shall provide the <br />necessary legål services in connection with the authorization, sale and issuance of COPS, including: <br /> <br />a. <br /> <br />Participating with the City and any experts retained by the City in structuring the <br />issuance of the COPS; <br /> <br />b. <br /> <br />Researching applicable tax laws relating to the COPS and the legality of reimbursing <br />City Hall construction costs and consulting with City staff and the City Attorney <br />regarding such laws; <br /> <br />c. <br /> <br />Drafting all resolutions, notices, rules and regulations, and other basic documents <br />required for the issuance of the COPS and relating to the security of the COPS <br />consultation with the City, its counsel and any experts; <br />
