Our fee shall be inclusive of out-of-pocket expenses, excluding out- <br />of-state travel (if any), for which we will obtain prior approval. The payment of <br />our fee shall be contingent upon your successful sale and closing of bonds or <br />other securities in connection with this project. Since the City may be involved in <br />this financing, our agreement may be with either the City or the Agency, as you <br />deem appropriate. The term "City" as used in our scope of services is inclusive <br />of any public entity for which the City Council of the City serves as the <br />legislative body, including (anticipating a variety of financing structure <br />possibilities) the City of Redwood City, the Redevelopment Agency or any <br />authority of the City. <br /> <br />If this proposal is acceptable to you, I would suggest that you instruct your city <br />attorney to prepare a contract modeled after our agreement to perform financial <br />advisory services in connection with the Redwood Shores Transportation <br />Improvement Project. <br /> <br />Sincerely, <br /> <br />~UPhrat <br /> <br />Enclosure <br />Mike Church w / encl. ~. <br /> <br />cc: <br />
