<br />~ t>-::> <br /> <br />SCOPE OF SERVICES RE <br />FINANCIAL PLAN DEVELOPMENT <br />& IMPLEMENT A nON FOR PUBLIC PARKING <br />REDEVELOPMENT PROJECT No.2 <br />FINANCIAL ADVISORY AGREEMENT <br /> <br />In connection with this engagement, William Euphrat MUlÚcipal Finance, <br />Inc. will: <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />Meet and confer with City staff, councilmembers and consultants to <br />ascertain the scope of the project and the financial objectives of the <br />City; <br /> <br />Prepare a recommended plan of finance that will, in our opinion, best <br />achieve City objectives and provide financial analyses in support of <br />our recommendations; <br /> <br />Recommend a security structure and relevant marketing features that <br />will achieve the City's objectives and which will, in our opinion, result <br />in the highest compatible rating and associated lowest feasible interest <br />rates; and, <br /> <br />Recommend either a competitive or negotiated sale of securities in <br />order to best further the City's objective of obtaining capital on the <br />most advantageous financial terms. <br /> <br />In connection with the competitive sale of securities, the William Euphrat <br />MUlÚcipal Finance, Inc. will: <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />Assist in the selection of the financing team (e.g., trustee, feasibility <br />consultants, and other necessary consultants or service providers, etc.); <br /> <br />Prepare a schedule of events for accomplishing the proposed <br />financing, assign duties to the appropriate parties and manage all <br />details of the financing to assure a successful closing; <br /> <br />Prepare memoranda and reports as is necessary on behalf of staff for <br />senior management and council members in connection with the <br />financing; <br /> <br />Review the credit profile of the financing to assess the credit strength <br />of the issue and determine the marketability of bonds, the suitability of <br />the credit for a rating request and the strength of the credit for a bond <br />insurance submission; <br /> <br />Solicit and negotiate on behalf of the City credit enhancement, if <br />available and cost effective; <br /> <br />-->-....¡-.-. <br />
