This <br />agreement is embodied in a Memorandum of Understanding (MOU), dated June 6, 2000, <br />between RSOA, Fully Alive and SBSA. The MOU is enclosed as Attachment "B". We <br />also understand that the City of Redwood City (City) is prepared to issue a modification of <br />its January 26, 2000 Use Permit (Modified Use Permit) for Fully Alive Church to match <br />the Form Use Permit enclosed as Attachment "A". <br /> <br />The Fonn Use Permit, which was prepared by the City, was recently revised such <br />that it does not agree with the MOU. Contrary to Exhibit F of the MOU, the Form Use <br />Permit fails to acknowledge that preparation and adoption of a Specific Plan before <br />issuance of a Use Pennit for Fully Alive Church is required by the property's RSB zoning. <br />However, in recognition of Fully Alive's and SBSA's good faith cooperation and based <br />upon RSOA' understanding that a Specific Plan will be prepared and adopted through the <br />process outlined in the MOU, thereby achieving RSOA's primary goal, RSOA agrees to <br />withdraw its appeal of the subject Use Permit concurrently with the issuance of a Modified <br />Use Permit for Fully Alive Church, provided that the Modified Use Permit conforms to <br />Attachment "A". RSOA maintains its view that preparation and adoption of a Specific <br />Plan is required under RSB zoning before issuance of a Use Permit for Fully Alive Church <br />or any other new or altered use within the RSB zoned lands. RSOA must reserve its right <br />to assert this in any fashion that may become necessary in the future. <br />
