The endorsements are to be on <br /> <br />forms provided by the City or are to be approved as to form by the City. <br /> <br />The certificate(s), and endorsements are to be received and approved <br /> <br />by the City before work commences. <br /> <br />5. HOLD HARMLESS. Contractor hereby agrees to defend, indemnify and save <br /> <br />harmless City, its Council, boards, commissions, officers, employees and agents <br /> <br />from any and all suits or claims for injury to any person or persons or for any <br /> <br />damage to property arising out of the performance of this agreement or resulting <br /> <br />from the carelessness of Contractor, its agents or employees. <br /> <br />6. INDEPENDENT CONTRACTOR. It is hereby understood that in connection with <br /> <br />the performance of Contractor's obligations hereunder, contractor is an <br /> <br />independent contractor and shall not be deemed to be an agent or employee of <br /> <br />the City in the performance hereof. <br /> <br />7. COMPENSATION: EXPENSES: PAYMENT. Contractor shall bill the City on a <br /> <br />monthly basis. All invoices shall be in duplicate, and sent to the City of Redwood <br /> <br />City, 1400 Roosevelt Ave, Redwood City, California 94061. <br /> <br />8. THE CONTRACT. The Contract consists of the Specifications, (including <br /> <br />Proposal Form and Schedule "A"), this Agreement and the Bid Form. The said <br /> <br />specifications and bid form are hereby incorporated into this agreement by <br /> <br />reference as if set out in full herein. <br />
