After you have had a chance to review this letter, please feel <br /> free to call me to discuss any questions or concerns you may have. <br /> DESCRIPTION OF SERVICES: To provide legal advice and consultation to the <br /> Redwond City Redevelopment Agency (the "Redevelopment Agency") regarding the California <br /> Environmental Quality Act, the Environmental Impact Report, and the preparation of the <br /> Administrative Record in connection with the above-referenced Project. <br /> SCOPE AND DUTIES: I will provide legal services within the scope of the description <br /> of services set forth above and pursuant to your direction. I shall provide those legal services <br /> reasonably required to represent you and shall take reasonable steps to keep you informed of <br /> progress and to respond to your inquiries. Ycur ob:igatio:is are to be truthful with us, to <br /> cooperate with us, to keep us informed of developments, to pay our statements in accordance <br /> with their terms, and to keep us advised of any changes in the status of this matter. <br /> POTENTIAL CONFLICTS OF INTEREST: Our firm has represented Western <br /> Investment Real Estate Trust, the predecessor entity to Western Properties Trust ("Western"). As <br /> a result of such prior and continuing representation, conflicts of interest may arise involving <br /> contractual and/or entitlement issues. I have discussed these potential conflicts of interest with <br /> you and with Western, and I understand that both parties, being duly informed, waive the <br /> conflicts of interest and consent to our representation. <br /> If an actual conflict an interest were to materialize, I would reserve the right to withdraw <br /> from any such representation of your interest or any other pazty with whom a conflict arises. <br />
