4A-S WHEREAS, Agency desires to allocate $15,000 to the Association for its use on the Project. NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS: 1. Financial Assistance. Agency shall allocate to Association the sum of Fifteen Thousand and no/100 Dollars ($15,0000.00) for exclusive use by Association solely for the purposes described in paragraph 2 under the terms of this Agreement. 2. Use of Funds. Association shan use the funds provided pursuant to paragraph 1 solely for the Project purposes described in Association's request for funds and description of proposed use of funds, dated December -120000 , attached hereto and incorporated herein as Exhibit "A". No changes in the use of funds shall be made by Association without the prior written consent of Agency. 3. Payments. Agency shall pay to Association up to a maximum cumulative amount of $15,0000 within 15 days from the date of Agency's receipt of a request for funds from Association ("Request for Funds"). Said Request for Funds shall: 1) provide documentation satisfactory to Agency of Association's prior receipt of $10,000 in matching funds committed to the Project; 2) specify the amount requested; 3) indicate the intended use of and the date by which the funds will be committed for such use by Association, providing that such commitment date may be no later than three (3) months from the date of the Request. Agency payments to Association will require the signature of the President and one other officer of the Association. No payments shall be made beyond December 31, 2001, and Association agrees to refund Agency any funds received but not expended by March 31, 2002. 4. Standard of Service. Associatic;m warrants to Agency that it will use and account for all funds provided hereunder strictly in accordance with standards governing the use of, and accountability for, funds held and disbursed in trust. Association's project funded hereunder shall conform to the highest standards providing for projects of similar or like nature in the San Francisco Bay Area. Association shall be responsible for, and hold Agency hannless from, any failúre to adhere to such standards. 5. Relationship of Parties. It is expressly understood that this is an agreement between two (2) independent contractors and that no agency, employee, partnership, joint venture or other relationship is established by this Agreement.
