In such event you agree <br /> to notify us in writing of your decision to terminate our engagement and to pay for serv�ces <br /> rendered up to the time at which you end our engagement, regardless of whether or not we <br /> have presented you with a fmished work product. We agree to provide you with copies of <br /> all work in progress in the event of such early ternunation. <br /> We will not be responsible for payment of third-party fees or expenses in connection with <br /> this engagement. - <br /> Because of the nature of our services, we will provide input into your decisions on issues <br /> related to a multi-million dollar real estate transaction. We have not, however, priced our <br /> services to contemplate the risks to us were we to have substantial liability or responsibility <br /> for your decisions. Also, we understand that you will rely (separate and apart from our <br /> input) on your own attorney and your professional managers for their important roles in <br /> these decisions. Accordingly, all of our services are provided with the understanding that <br /> there aze no express or implied warranties other than our promise to perform our services <br /> for you in a thorough and professional manner. In the unlikely (and to us, unthinkable) <br /> event that we do not perform our services as promised, our liabihty to you will not exceed <br /> � the contract price for our related services and in no event will we be liable for lost revenues <br /> or special or consequential damages. , <br /> This letter is intended to set forth our complete agreement, superseding our previous <br /> negotiations, agreements and representations.
